Enforcement; Authority; No Conflict. (a) This Agreement constitutes the legal, valid and binding obligation of Seller, enforceable against Seller in accordance with its terms except as such enforcement may be limited by bankruptcy, insolvency or other similar Laws affecting the rights of creditors generally and by general principles of equity. Seller has the absolute and unrestricted right, power and authority to execute and deliver this Agreement and the Transaction Documents and to consummate the Contemplated Transactions. The Board of Aldermen of Seller have duly authorized the execution, delivery, and performance of this Agreement by Seller and no other proceeding on the part of Seller is necessary to authorize the execution, delivery and performance of this Agreement.

Illinois-American has the absolute and unrestricted right, power and authority to execute and deliver this Agreement and the Transaction Documents to which it is a party and to perform its obligations hereunder and thereunder.

Xxxxx has the absolute and unrestricted right, power and authority to execute and deliver this Agreement and the Transaction Documents to which it is a party and to perform its obligations hereunder and xxxxxxxxxx.

Tolono has the absolute and unrestricted right, power and authority to execute and deliver this Agreement and the Transaction Documents and to consummate the Contemplated Transactions. The president and Village Board of Tolono have duly authorized the execution, delivery, and performance of this Agreement by Tolono and no other municipal proceeding on the part of Tolono is necessary to authorize the execution, delivery and performance of this Agreement.

Xxxxxx has the absolute and unrestricted right, power and authority to execute and deliver this Agreement and the Transaction Documents and to consummate the Contemplated Transactions. The Mayor and the Village Board of Xxxxxx have duly authorized the execution, delivery, and performance of this Agreement by Xxxxxx and no other corporate proceeding on the part of Xxxxxx is necessary to authorize the execution, delivery and performance of this Agreement.

(a) This Agreement constitutes the legal, valid and binding obligation of Seller; provided, however, that Missouri-American’s remedy for any breach of this Agreement will be as provided in Section 9.10, and provided, further, that Seller will not be liable to perform any provision of this Agreement in the event that such provision is declared to be invalid or void by any court, or in the event that any order or judgment of a court precludes Seller from performing this Agreement, or in the event that performance of the provision is impossible or impracticable. Enforcement of this Agreement may be limited by bankruptcy, insolvency or other similar Laws affecting the rights of creditors generally and by general principles of equity. The U.S. District Court has duly authorized the execution, delivery, and performance of this Agreement by Xxxxxx and no other proceeding on the part of Seller is necessary to authorize the execution, delivery and performance of this Agreement.
