Enforcement Costs and Expenses. In the event that Guarantor shall fail to timely perform any provisions of this Guaranty, Guarantor shall pay to DEO, its successors or assigns, upon demand, all third party costs and expenses, including without limitation reasonably attorneys’ fees and court costs, actually and reasonably incurred by DEO, its successors or assigns, in connection with such failure by Guarantor and the successful enforcement of any obligations of Guarantor under this Guaranty.

Ideal shall, from time to time on demand of the Agent, reimburse the Agent, the Security Trustee and each of the Lenders for all costs and expenses (including legal fees and a reasonable estimate of the allocable cost of in-house counsel and staff) together with VAT thereon incurred in or in connection with the termination of this Agreement or the preservation and/or enforcement of any of the rights of any of the Beneficiaries under any of the Finance Documents.

Enforcement Costs and Expenses. The Sellers shall reimburse the Buyer Group for any damages, claims, liabilities, reasonable expenses (including reasonable attorney’s fees), arising out of the enforcement of this Agreement or any other Governing Agreement.

Any funds of any of the Secured Parties used for any purpose referred to in this Article 7, whether or not in excess of any commitment (without obligating any of the Secured Parties to fund any loans in excess of commitments hereunder), shall be governed by the Loan Instruments, constitute a part of the indebtedness secured by the Security Documents, shall bear interest at the then applicable Default Interest Rate and be payable upon demand by Agent to the extent permitted by applicable Law.
Enforcement Costs and Expenses. The Novastar Entities shall jointly and severally reimburse all Wachovia Entities for any damages, claims, liabilities, expenses, attorney's fees, etc., arising out of the enforcement of this Agreement or any other Transaction Document.

In the event that Guarantor shall fail to timely perform any provisions of this Guaranty, Guarantor shall pay to Landlord, upon demand, (a) all costs and expenses, including without limitation reasonable attorneys’ fees and court costs, incurred by Landlord in connection with such failure and the enforcement of any obligations of Guarantor under this Guaranty, and (b) interest at the Default Rate set forth in the Lease (not to exceed the maximum rate permitted under applicable law), from the date of such demand to Guarantor until the date paid, on any amounts due under this Guaranty that have not been paid to Landlord within ten (10) days after demand for such amounts has been made to Guarantor. Such obligations shall survive the payment and performance of the applicable Guaranteed Lease Obligations, whether by Tenant, Guarantor, or any other party.
Enforcement Costs and Expenses. Any funds of the Agents or Lenders (including, without limitation, Loans by the Administrative Agent) used for any purpose referred to in this Section, whether or not in excess (without
(i) be paid by the Borrower pursuant to Section 11.4,
(ii) be governed hereby,
(iii) constitute a part of the indebtedness secured by the Security Documents, and
(iv) be payable upon demand by the Administrative Agent.
Enforcement Costs and Expenses. In the event any litigation arises in connection with the enforcement of any provision of this Agreement, the non-prevailing party shall pay the attorney=s fees, court costs and litigation expenses incurred by the prevailing party.

The Guarantor agrees to pay, upon demand, to the Administrative Agent and the Lenders the amount of any and all reasonable out-of-pocket costs, fees and expenses, including the reasonable out-of-pocket fees and expenses of counsel, which the Administrative Agent and the Lenders may incur in connection with the exercise or enforcement of any of its rights hereunder against the Guarantor.
