Enforcement of HSBC Obligations. (a) Provisions in this Agreement for Assignor to cause or to use reasonable best efforts or commercially reasonable efforts (or words and phrases of similar import) to cause HSBC or any of the other HSBC Sellers to perform an agreement, covenant or obligation that HSBC or the applicable HSBC Sellers have made or undertaken shall not be construed as assurance by Assignor that HSBC or any of the other HSBC Sellers will perform such an agreement, covenant or obligation; however, by virtue of any such provision, and when such provision is applicable, Assignor shall, upon proper request by Purchaser, make one or more (as appropriate ) verbal (and, if appropriate, written) requests to representatives of HSBC or the other HSBC Sellers, as applicable, to perform such agreement, covenant or obligation. If Purchaser advises Assignor in writing that notwithstanding such request(s) by Assignor, HSBC or another of the HSBC Sellers have not complied with such agreement, covenant or obligation, Assignor shall, if further requested by Purchaser, commence and prosecute a legal proceeding (at Purchaser’s cost and expense) to obtain specific performance of such agreement, covenant or obligation by the applicable HSBC Sellers. In such a proceeding, Purchaser shall have the right to approve (which approval shall not be unreasonably withheld) legal counsel selected by Assignor to conduct such legal proceedings. Assignor shall instruct its legal counsel to consult with and provide periodic updates to Purchaser and its legal counsel relating to such legal proceedings, and to provide Purchaser and its counsel copies of all material pleadings and motions exchanged in such legal proceedings, subject to Purchaser and its legal counsel entering into appropriate arrangements necessary to protect confidential and privileged information. If requested by Purchaser to discontinue, abandon or settle such legal proceedings, Assignor will endeavor to do so on terms proposed by Purchaser provided such terms do not alter or prejudice Assignor’s rights and entitlements. Purchaser agrees to compensate and reimburse Assignor, from time to time, for the third party costs and expenses (including the fees and disbursements of legal counsel approved by Purchaser) as such costs and expenses are incurred by Assignor in complying with this Section 8.10. Purchaser shall, without regard to the limitations in ARTICLE XIII, indemnify and hold harmless Assignor from any claims or counterclaims brought by HSBC...

  • Enforcement of Covenants The Executive acknowledges that the Executive has carefully read and considered all the terms and conditions of this Agreement, including the restraints imposed upon him pursuant to Sections 8, 9, 10 and 11 hereof. The Executive agrees without reservation that each of the restraints contained herein is necessary for the reasonable and proper protection of the goodwill, Confidential Information, trade secrets, and other legitimate interests of the Company and its Company Affiliates; that each and every one of those restraints is reasonable in respect to subject matter, length of time and geographic area; and that these restraints, individually or in the aggregate, will not prevent him from obtaining other suitable employment during the period in which the Executive is bound by these restraints. The Executive further agrees that the Executive will never assert, or permit to be asserted on the Executive’s behalf, in any forum, any position contrary to the foregoing. The Executive further acknowledges that, were the Executive to breach any of the covenants contained in Sections 8, 9, 10 or 11 hereof, the damage to the Company would be irreparable. The Executive therefore agrees that in the event of the breach or a threatened breach by Executive of any of the provisions of Sections 8, 9, 10 or 11 hereof, the Company, in addition and supplementary to other rights and remedies existing in its favor (including pursuant to Section 3(c) hereof), may apply to any court of law or equity of competent jurisdiction for specific performance or injunctive or other relief in order to enforce or prevent any violations of the provisions hereof (without posting a bond or other security), and will additionally be entitled to an award of attorney’s fees incurred in connection with securing any relief hereunder. The parties further agree that if, at the time of enforcement of Sections 8, 9, 10 or 11, a court shall hold that the duration, scope or area restrictions stated herein are unreasonable under circumstances then existing, the parties agree that the maximum duration, scope or area reasonable under such circumstances shall be substituted for the stated duration, scope or area and that the court shall revise the restrictions contained herein to cover the maximum period, scope and area permitted by law. The Executive agrees that the Restricted Period shall be tolled, and shall not run, during any period of time in which the Executive is in violation of the terms thereof, in order that the Company and its Company Affiliates shall have all of the agreed-upon temporal protection recited herein. No breach of any provision of this Agreement by the Company, or any other claimed breach of contract or violation of law, or change in the nature or scope of the Executive’s employment relationship with the Company, shall operate to extinguish the Executive’s obligation to comply with Sections 8, 9, 10 and 11 hereof.

  • Protection of Collateral Agent’s Security On a continuing basis, each Pledgor shall, at its sole cost and expense, (i) promptly following its becoming aware thereof, notify the Collateral Agent of any adverse determination in any proceeding or the institution of any proceeding in any federal, state or local court or administrative body or in the United States Patent and Trademark Office or the United States Copyright Office regarding any Material Intellectual Property Collateral, such Pledgor’s right to register such Material Intellectual Property Collateral or its right to keep and maintain such registration in full force and effect, (ii) maintain all Material Intellectual Property Collateral as presently used and operated, (iii) not permit to lapse or become abandoned any Material Intellectual Property Collateral, and not settle or compromise any pending or future litigation or administrative proceeding with respect to any such Material Intellectual Property Collateral, in either case except as shall be consistent with commercially reasonable business judgment, (iv) upon such Pledgor obtaining knowledge thereof, promptly notify the Collateral Agent in writing of any event which may be reasonably expected to materially and adversely affect the value or utility of any Material Intellectual Property Collateral or the rights and remedies of the Collateral Agent in relation thereto including a levy or threat of levy or any legal process against any Material Intellectual Property Collateral, (v) not license any Intellectual Property Collateral other than licenses entered into by such Pledgor in, or incidental to, the ordinary course of business, or amend or permit the amendment of any of the licenses in a manner that materially and adversely affects the right to receive payments thereunder, or in any manner that would materially impair the value of any Intellectual Property Collateral or the Lien on and security interest in the Intellectual Property Collateral created therein hereby, without the consent of the Collateral Agent, (vi) diligently keep adequate records respecting all Intellectual Property Collateral and (vii) furnish to the Collateral Agent from time to time upon the Collateral Agent’s request therefor reasonably detailed statements and amended schedules further identifying and describing the Intellectual Property Collateral and such other materials evidencing or reports pertaining to any Intellectual Property Collateral as the Collateral Agent may from time to time request.

  • Enforcement and Remedies Executive acknowledges that money damages would not be sufficient remedy for any breach of this Article 6 by Executive, and Company shall be entitled to enforce the provisions of this Article 6 by terminating any payments then owing to Executive under this Agreement and/or to specific performance and injunctive relief as remedies for such breach or any threatened breach. Such remedies shall not be deemed the exclusive remedies for a breach of this Article 6, but shall be in addition to all remedies available at law or in equity to Company, including, without limitation, the recovery of damages from Executive and Executive’s agents involved in such breach and remedies available to Company pursuant to other agreements with Executive.
