Engagement as Independent Contractor. The Company herewith engages Agent as an Independent Contractor to serve as a Benefits Specialist with the Company. Agent agrees to serve as such under the terms and conditions herein set forth. Agent shall receive a Form 1099 each year and shall be responsible for his tax obligations to all Federal and State tax authorities.
Engagement as Independent Contractor. The Company hereby retains Consultant and Consultant hereby accepts such retention, as an independent contractor to provide the Consultant Services (as defined below). Consultant shall be and at all times relevant hereto remain an independent contractor of the Company.

The Company hereby engages You, and You hereby accept such engagement, as an independent contractor whose established business, trade, or occupation is of the same nature as the specific Services, as defined below. You agree to provide certain Services to Clients through the Platform on the terms and conditions set forth in this Agreement.

Engagement as Independent Contractor. Buckingham hereby retains NEU on a non exclusive basisConsultant as an independent contractor, and NEUConsultant hereby accepts engagement by Buckingham on the terms and conditions specified herein. Buckingham shall not direct NEUConsultant with respect to the means, manner or method of performance of the work or services performed hereunder, Buckingham being solely interested in the attainment of the desired results. Nothing in this Agreement authorizes NEUConsultant to bind Buckingham to any obligations to third parties or to make any representations to third parties on behalf of Buckingham other than as expressly set out herein. Similarly, Buckingham is not authorized to hold out NEUConsultant, or any principal or employee of NEUConsultant as an employee, representative, owner or agent of Buckingham, and Buckingham may not use the Name of NEUConsultant or any representative of NEUConsultant in any printed or electronic materials disseminated by Buckingham to third parties without the prior written consent of NEUConsultant. In addition, Consultant shall not be or be considered to be an employee, partner, member, officer, director, shareholder or joint venturer of Buckingham or with respect to any aspect of Buckingham’s business.
Engagement as Independent Contractor. Xxxxxxx Properties agrees to provide services to Bank as set forth below. It is agreed that in the performance of services under this Agreement, Xxxxxxx Properties is an independent contractor and shall not be an agent of Bank. Nothing contained in this Agreement shall be construed to create a joint venture, partnership, association, or other affiliation between the parties hereto, it being specifically agreed that the relationship is and shall remain that of independent parties to a contractual relationship as set forth in this Agreement. Bank shall neither have nor exercise any specific control or direction over the particular methods by which Xxxxxxx Properties shall perform the services required by this Agreement. Neither party shall be liable for the debts or obligations of the other except as otherwise specifically provided in this Agreement. Bank will not withhold on compensation paid to Xxxxxxx Properties for income tax or any other withholding pursuant to any law or requirement of any governmental body. Xxxxxxx Properties shall not hold itself out as an agent of Bank and will file all governmental reports including but not limited to federal and state tax returns consistent with being an independent contractor.
Engagement as Independent Contractor. The Company hereby engages the Consultant as an independent contractor to serve as the interim chief executive officer of the Company. The Consultant will provide such consulting and management services as customarily provided by a chief executive officer and will report to the Company’s Board of Directors (collectively, the “Consulting Services”). The Consultant hereby accepts the Company’s engagement as the interim chief executive officer of the Company hereunder and agrees to perform the Consulting Services on the terms and conditions set forth herein.
Engagement as Independent Contractor. The Company hereby hires, retains and otherwise engages Consultant as an independent contractor, and Consultant hereby accepts such engagement, upon the terms and conditions set forth herein. Each of the Parties acknowledges and agrees that Consultant (a) is being hired, retained and otherwise engaged as an independent contractor for federal tax purposes, (b) shall not be considered an employee, agent or partner of the Company, Atlantic Gulf Communities Corporation ("AGCC") or any of their affiliates or subsidiaries, (c) shall have no right, power or authority, and shall not hold itself out as having any right, power or authority, to assume or create any obligation or liability, express or implied, on behalf, or in the name, of the Company, AGCC or any of their affiliates or subsidiaries, or to bind the Company, AGCC or any of their affiliates or subsidiaries in any manner, without the Company's or AGCC's (as the case may be) express prior written consent (collectively, "Liabilities") and (d) shall have no right, power or authority to sign the name of the Company, AGCC or any of their affiliates or subsidiaries to any document, agreement, contract or instrument or to hold itself out as a general or special agent, partner, member, officer, employee or director of the Company, AGCC or any of their affiliates or subsidiaries. The Company shall carry no workers' compensation insurance or any health or accident insurance to cover Consultant or its employees. The Company shall not pay any contribution to Social Security, unemployment insurance, or federal or state withholding taxes in connection with the retention of Consultant under this Agreement (collectively, "Taxes"), and Consultant agrees to indemnify and hold the Company harmless from any such Liabilities and/or Taxes which may be assessed in connection with payments to Consultant under this Agreement.
Engagement as Independent Contractor. The Employer hereby engages L&W as an independent contractor and L&W hereby accepts the engagement as an independent contractor to arrange to perform for the Employer certain administrative services, as specified and delegated herein, in conjunction with the operation of the Plans identified in Section
Engagement as Independent Contractor. Company is engaging Consultant as an independent contractor to serve as an advisor and resource to Company’s Board of Directors and its Chairman, as requested from time to time by the Chairman. Consultant will not be an employee of Company, and nothing in this Agreement will be construed to create any association, partnership, joint venture, or agency relationship. Consultant has no authority (and will not hold Consultant’s self out as having authority) to bind Company, and Consultant will not make any agreements or representations on Company’s behalf without Company’s prior written consent. Consultant is not an honorary, advisory, or emeritus director of Company, or a director by deputization, and is not entitled to attend meetings of the Board or its committees, debate Board or committee matters, or vote on matters submitted to the Board or its committees. Consultant may attend Board or committee meetings at the invitation of the Chairman.
