Common use of Engagement of Owner Clause in Contracts

Engagement of Owner. Subject to the terms of this Agreement, the Westlake Parties and certain of their Affiliates hereby engage Owner to perform the Owner Provided Services (as defined below) and authorize Owner to perform all acts that are necessary or appropriate in Owner’s reasonable judgment to perform the Owner Provided Services. Owner hereby accepts such engagement and agrees to perform all acts necessary or appropriate in Owner’s reasonable judgment to perform the Owner Provided Services, all in accordance with the terms and conditions and subject to the limitations set forth in this Agreement. Owner agrees to provide the Owner Provided Services to permit the Westlake Facilities to be operated to the maximum extent possible in an efficient manner with the Owner Facilities, but in any event in a manner that permits the Westlake Parties to comply with their obligations under the Ethylene Sales Agreement and Feedstock Supply Agreement.
