Engagement of the Management Parties to Manage Hotels. Lessee hereby appoints the Management Parties as Lessee’s exclusive manager, subject to the terms of this Agreement, to supervise, direct and control the management and operation of the Hotels, and the Management Parties hereby undertake and agree to perform, as independent contractors of Lessee, all of the services and to comply with all of the provisions of this Agreement, upon all of the terms and conditions hereinafter set forth.
