Enhanced Project Management System. At any time following the finalization of the Schedule, in the event that Contractor’s Monthly Progress Report indicates that Contractor is unlikely to meet either the Guaranteed Substantial Completion Date or any Key Schedule Milestone identified on Exhibit C with respect to Xxxx 0 or the Unit 5 Scrubber, Contractor shall promptly notify Owner in writing thereof, and the Parties shall consult in good faith as to what measures need to be undertaken to regain lost time. If Contractor’s progress on any Key Schedule Milestone set forth in the Schedule is, or forecasted to be, delayed by ninety (90) days or more as compared to the Schedule, and until Contractor’s progress on such Milestone complies with the Schedule, at the request of Owner, Contractor shall, without increase to the Contract Price, establish and submit to Owner a comprehensive acceleration plan to regain compliance with the Schedule. The Parties shall consult in good faith to determine what measures to include in such comprehensive acceleration plan. Such plan shall be subject to the approval of Owner, which approval shall not be unreasonably withheld. Following such approval by Owner, Contractor shall promptly implement such plan. Unless the underlying cause for such delay constitutes a Change, neither the preparation nor the implementation of such plan shall constitute a Change.

  • Project Managers Each party will designate a project manager (“Project Manager”) who will (a) serve as such party’s primary representative under this Agreement, (b) have overall responsibility for managing and coordinating the performance of such party’s obligations under this Agreement and be responsible for the day-to-day implementation of this Agreement, including attempted resolution of any issues that may arise during the performance of any party’s obligations hereunder for each of the Services, (c) be authorized to act for and on behalf of such party with respect to all matters relating to this Agreement and (d) will provide guidance on the steps the parties shall take to cooperate in the transition, separation and migration of the Services. Generally, requests by NewCo relevant to the Services will be made by NewCo’s Project Manager to MCK’s Project Manager; however, the foregoing provision will not limit either party’s ability to communicate with the other party’s relevant contact person(s) with respect to any particular Service. Either party’s Project Manager may from time to time designate a substitute of commensurate skills and experience by notice to the other party to fulfill such Project Manager’s responsibilities during any periods of unavailability.

  • Maintenance and Support Services Distributor shall provide Maintenance and Support Services to all of its Customers of Licensed Software as set forth in Sections 3.4(a) and 3.4(b) below. Distributor may require Customers to provide the own First-Line Support: however, in no event shall Siebel be responsible for First-Line or Second-Line Support. Subject to Distributor's payment of the Maintenance Fees set forth in EXHIBIT A Siebel shall provide Third-Line Support to Distributor in accordance with Siebel's then current Maintenance and Support Services Policy. Distributor shall be responsible for all support related to the Value Added Offering.
