Common use of Entire Agreement; Amendment; Counterparts Clause in Contracts

Entire Agreement; Amendment; Counterparts. This Agreement contains the entire understanding of the parties, and supersedes all previous oral agree- ments and discussions, with respect to the subject matter set forth herein. No modification of this Agreement shall be effective unless made in a written in- strument executed by both parties, except that GPO may amend Vendor agreements without Participant's consent. By electronic signature or transmission this Agreement shall be deemed an original and by return acknowledgment by GPO shall constitute one and the same instrument.
