Assignment of Works. Executive agrees to promptly make full written disclosure to the Company, to hold in trust for the sole right and benefit of the Company, and hereby assigns, transfers, grants and conveys to the Company, all of his/her worldwide right, title, ownership and interest in and to any and all designs, trademarks, inventions, original works of authorship, findings, conclusions, data, discoveries, developments, concepts, improvements, trade secrets, techniques, processes, know-how and other work product, whether or not patentable or registrable under copyright or similar laws, which Executive may solely or jointly conceive or develop or reduce to practice, or cause to be conceived or developed or reduced to practice, in the performance of this Agreement or which result, to any extent, from use of the Company’s premises or property (collectively, the “Works”), including any and all intellectual property rights inherent in the Works and appurtenant thereto including, without limitation, all patent rights, copyrights, trademarks, know-how and trade secrets (collectively, “Intellectual Property Rights”). Executive further acknowledges and agrees that all original works of authorship which are made by him/her in the performance of this Agreement and which are protectable by copyright are “works made for hire,” as that term is defined in the United States Copyright Act and belong solely to the Company. Executive agrees that all Works developed by Executive during the course of this Agreement, prior to this Agreement, developed in future using Works as the basis are the sole property of the Company. However, to the extent that any such work may not, by operation of any applicable law, be a work made for hire, Executive hereby assigns, transfers and conveys to the Company all of his/her worldwide right, title and interest in and to such Work, including all Intellectual Property Rights therein and appurtenant thereto. Executive hereby waives any and all “moral rights” that he/she may have in any of the Works under the Berne Convention or any other applicable law, rule or regulation. Assignment of Works. The Executive assigns to the Company or its assigns all of the Executive’s right, title and interest in and to all developments, inventions and ideas made, conceived or reduced to practice solely or jointly by the Executive while engaging in activities within the scope of his employment by the Company, regardless of whether any of such developments, inventions and ideas qualify as intellectual property or were conceived or developed during business hours. The Executive acknowledges and agrees that all original works of authorship that are made with the scope of his employment by the Company and which can be legally protected are “works for hire” under applicable law. The Executive shall notify the Company of all developments, inventions and ideas and to take all actions necessary to enable the Company to seek legal protection for them.

In the event that Versa Card is unable for any reason whatsoever to secure the Employee’s signature to any document reasonably necessary or appropriate for any of the foregoing purposes (including without limitation, renewals, extensions, continuations, divisions, or continuations in part), Employee hereby irrevocably designates and appoints Versa Card and its duly authorized officers and agents as Employee’s agent and attorney-in-fact to act for and on behalf of Employee for the limited purpose of executing and filing any such document and doing all other lawfully permitted acts to accomplish the foregoing purposes with the same legal force and effect as if executed by Employee. This appointment is coupled with an interest and shall survive the death or disability of Employee.
Assignment of Works. (a) Company shall own and I hereby assign to the Company all my right, title, and interest in and to any and all Works (and all Proprietary Rights with respect thereto), whether or not patentable or registrable under copyright or similar statutes, that were made or conceived or reduced to practice or learned by me, either alone or jointly with others, during the period of my employment with the Company to the fullest extent allowable by law, and I will promptly disclose such Works to Company. (b) I acknowledge that all original works of authorship that are made by me (solely or jointly with others) during the term of my employment with the Company and that are within the scope of my employment and protectable by copyright are “works made for hire,” as that term is defined in the United States Copyright Act (17 U.S.C. § 101). Works assigned to the Company by this paragraph 3 are hereinafter referred to as “Company Works.”
(c) To the extent allowable by law, Company Works includes all rights of paternity, integrity, disclosure and withdrawal and any other rights that may be known as or referred to as “moral rights,” “artist’s rights,” droit moral rights,” or the like (collectively “Moral Rights”). To the extent I retain any such Moral Rights under applicable law, I hereby waive such Moral Rights and consent to any action with respect to such Moral Rights by or authorized by Company and specifically grant Company the right to alter such Company Works. I will confirm any such waivers and consents from time to time as requested by Company.

Consultant acknowledges and agrees that all Copyrightable Works are “work made for hire” as such term is defined in United States Code Title 17, Section 101, the ownership and copyright of which shall be vested solely in SIBE. In the event that SIBE is unable for any reason whatsoever to secure the Consultant’s signature to any document reasonably necessary or appropriate for any of the foregoing purposes (including without limitation, renewals, extensions, continuations, divisions, or continuations in part), Consultant hereby irrevocably designates and appoints SIBE and its duly authorized officers and agents as Consultant’s agent and attorney-in-fact to act for and on behalf of Consultant for the limited purpose of executing and filing any such document and doing all other lawfully permitted acts to accomplish the foregoing purposes with the same legal force and effect as if executed by Consultant. This appointment is coupled with an interest and shall survive the death or disability of Consultant.

Designs, drawings, illustrations, plans, artwork, photos, schedules, presentations, or other documentation and creations, including those in audio, video or electronic format and including any revisions, alterations, variations, improvements, or derivative design works thereof, prepared by the Consultant or the Consultant's consultants, if any, and relating to the Project (and excluding for the avoidance of doubt the Consultant's name and trade marks) are known as the "Design Works." The Consultant further expressly acknowledges that any and all Design Works performed by the Consultant for the City during the term of its relationship with the City, regardless of where the Design Works are performed, shall be considered a "work made for hire" as that phrase is defined by the United States Copyright Laws and shall be owned by and remain the sole property of the City. The Consultant further acknowledges that the City is considered the author of the Design Works and is the exclusive owner of all copyright and all other intellectual property in the Design Works and the City shall have the right to exercise all exclusive rights of copyright and intellectual property. To the extent that, under applicable law, any such Design Works do not qualify as a "work made for hire," the Consultant agrees and does hereby assign to the City, without further consideration, all of its rights, title and interest in any such Design Works, including, but not limited to, copyrights, trademarks and other proprietary rights.
