Common use of ENTIRE AGREEMENT/BINDING EFFECT/MODIFICATION/ASSIGNMENT Clause in Contracts

ENTIRE AGREEMENT/BINDING EFFECT/MODIFICATION/ASSIGNMENT. This Agreement sets forth the entire agreement of the parties with regard to the subject herein. This Agreement may not be modified except by a written amendment executed by both parties. Neither MaineDOT nor the Vendor may assign, sublet, or transfer any rights under or interest (including, but without limitation, monies that are due or may become due) in the Agreement without the written consent of the other, except to the extent that any assignment, subletting, or transfer is mandated or restricted by law. Unless specifically stated to the contrary in any written Consent To Assignment, no assignment shall release or discharge the assignor from any duty or responsibility under the Agreement.
