Common use of ENTIRE AGREEMENT/BINDING EFFECT/MODIFICATION/ASSIGNMENT Clause in Contracts

ENTIRE AGREEMENT/BINDING EFFECT/MODIFICATION/ASSIGNMENT. The Authority and the Consultant including their partners, successors, executors, administrators and legal representatives (and to the extent permitted by the Contract, the assigns of the Authority and Consultant) are hereby bound to each other, with respect to all covenants, agreements and obligations under the Contract. No changes are to be made in the Contract, unless by a Contract Modification, Task/Project Order or Task/Project Order executed by both parties. Neither the Authority nor Consultant may assign, sublet, or transfer any rights under or interest in the Contract (including, but without limitation, moneys that are due or may become due) without the written consent of the other, except to the extent that any assignment, subletting, or transfer is mandated or restricted by law. Unless specifically stated to the contrary in any written consent to an assignment, no assignment shall release or discharge the assignor from any duty or responsibility under the Contract.
