For ContraFect Corporation December 12, 2022 the avoidance of doubt, the agreement entered into by the Company and Maxim on or around November 21, 2022 is hereby superseded and replaced by this Agreement, and is terminated and shall have no further force or effect. If any provision of this Agreement is determined to be invalid or unenforceable in any respect, such determination will not affect such provision in any other respect or any other provision of this Agreement, which will remain in full force and effect.
