Entire Agreement; Prior Negotiations. This Agreement, including all exhibits attached hereto, constitutes the entire agreement of the Parties and supersedes all prior negotiations and documents reflecting such prior negotiations between and among the Parties (and their respective advisors) with respect to the subject matter of this Agreement.
Entire Agreement; Prior Negotiations. This Agreement, including the Transaction Term Sheet, constitutes the entire agreement of the Parties with respect to the subject matter hereof and supersedes all prior agreements (oral or written), negotiations, and documents between and among the Parties (and their respective advisors) with respect to the subject matter hereof, except for (a) the Forbearance Agreement and (b) any confidentiality agreements heretofore executed between or among any of the Parties, which shall continue in full force and effect.

This Agreement, including the attached Restructuring Term Sheets, constitutes the entire agreement of the Parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations, representations, warranties, and understandings by or among any Parties (oral and written) but shall not supersede the Restructuring Documents; provided, however, that the Parties acknowledge and agree that any confidentiality, non-disclosure or other similar agreements heretofore executed between the Debtors and any Commitment Party or such Commitment Party’s advisors shall continue in full force and effect as provided therein.
Entire Agreement; Prior Negotiations. Each Additional Participating Creditor hereby agrees that this Joinder and the Restructuring Support Agreement (including the exhibits, annexes and schedules of and the documents and instruments referred to in the Restructuring Support Agreement) constitutes the entire agreement of such Additional Participating Creditor regarding the subject matter thereof and supersedes all prior agreements, arrangements or understandings, whether written or oral, by any such Additional Participating Creditor and any other Parties with respect to the subject matter of the Restructuring Support Agreement.
Entire Agreement; Prior Negotiations. This Agreement, including Exhibits A, Exhibit B, and Exhibit C annexed hereto (inclusive of exhibits thereto), constitutes the entire agreement of the Parties and supersedes all prior agreements (oral or written), negotiations, and documents reflecting such prior negotiations between and among the Parties (and their respective advisors), with respect to the subject matter hereof.

This Agreement, including the A&R Transaction Term Sheet, constitutes the entire agreement of the Parties with respect to the subject matter hereof and supersedes all prior agreements (oral or written), negotiations, and documents between and among the Parties (and their respective advisors) with respect to the subject matter hereof, except for (a) the Forbearance Agreement between the Partnership, certain Consenting Noteholders and the Indenture Trustee and (b) any confidentiality agreements heretofore executed between or among any of the Parties, which shall continue in full force and effect. Without limiting the generality of the foregoing, this Agreement amends, restates and replaces the Original Support Agreement in its entirety.
