Entire Agreement; Supersedes Other Agreements. This Agreement constitutes the full, complete, and final agreement of the Members and their Affiliates relating to the Fund and supersedes all prior agreements with respect to the Fund, whether oral or written. Notwithstanding any other provision of this Agreement, it is hereby acknowledged and agreed that the Manager on its own behalf or on behalf of the Fund, without the approval of any Member or any other Person, may enter into a side letter or similar agreement to or with a Member which has the effect of establishing rights under, or altering or supplementing the terms of, this Agreement or of any Subscription Agreement, including, without limitation, modifications to any Class M Carry Interest. The Manager, acting in its reasonable good faith discretion, shall make all necessary conforming changes to the capital contributions, allocations and distributions required under Article V of this Agreement and any other provision of this Agreement, so as to give effect to the exercise of such right. The parties hereto agree that any terms contained in a side letter or similar agreement to or with a Member shall govern with respect to such Member notwithstanding any other provision of this Agreement or of any Subscription Agreement.

  • 10Entire Agreement This Agreement (including those specifications and documents incorporated by reference to URL locations which form a part of it) constitutes the entire agreement of the parties hereto pertaining to the operation of the TLD and supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written, between the parties on that subject.
