Capital Contributions definition

Capital Contributions means, with respect to any Member, the amount of money (US Dollars) and the initial Gross Asset Value of any assets or property (other than money) contributed by the Member (or such Member’s predecessor in interest) to the Company (net of liabilities secured by such contributed property that the Company is considered to assume or take subject to under Code Section 752) with respect to the Units in the Company held or purchased by such Member, including additional Capital Contributions.
Capital Contributions means, with respect to any Partner, the amount of cash and promissory notes and the Fair Market Value of any property (other than cash), as determined by agreement of the Partners, by independent appraisal, or as otherwise provided in this Agreement, contributed from time to time to the Partnership by such Partner.
Capital Contributions means the amount of all cash, money, and notes payable on demand and the agreed upon value of other property or services contributed by the Member to the Company.

  • After its Capital Contribution is fully paid, no Limited Partner shall, except as otherwise required by the Act, be required to make any further Capital Contributions or other payments or lend any funds to the Partnership.

  • No Member shall receive any interest, salary or drawing with respect to its Capital Contributions or its Capital Account, except as otherwise provided in this Agreement.

More Definitions of Capital Contributions

Capital Contributions means any cash, cash equivalents, promissory obligations or the Fair Market Value of any Contributions or other property or rights that a Person contributes or licenses with respect to any Equity Securities pursuant to Article 3, net of any liabilities assumed by the Company for such Person in connection with such contribution and net of any liabilities to which the assets contributed by such Person are subject.
Capital Contributions of a Member means the amount of cash and the Fair Market Value of property contributed by such Member to the Company.
Capital Contributions means the amounts of cash contributed and agreed to be contributed to the Trust by any Participant or by the Managing Owner, as applicable, in accordance with Article III hereof.
