Common use of Entire Contract; Modifications; Conflicts Clause in Contracts

Entire Contract; Modifications; Conflicts. This Contract supersedes all prior agreements, written or oral, between DESIGN BUILD CONTRACTOR and City and shall constitute the entire Contract and understanding between the parties with respect to the subject matter hereof. This Contract and each of its provisions shall be binding upon the Parties and may not be waived, modified, amended, or altered except by a writing signed by City and DESIGN BUILD CONTRACTOR. If there is a conflict between these Articles and the General Conditions of the Contract, then the provision which provides the greatest benefit to City shall govern.
