Entire License Clause Samples
The 'Entire License' clause defines that the written license agreement constitutes the complete and exclusive statement of the terms agreed upon by the parties regarding the subject matter of the license. In practice, this means that any prior discussions, negotiations, or understandings—whether oral or written—are superseded by the final license document, and only the terms within the agreement are legally binding. This clause ensures clarity and prevents either party from later claiming that additional terms or promises exist outside the written license, thereby reducing the risk of disputes over alleged side agreements.
Entire License. This License replaces any previously granted license for the Product. This License constitutes the entire, final and exclusive agreement between you and Noemax with respect to the Product or any other subject matter covered by this License. This License supersedes in their entirety any and all prior agreements, license exemptions, purchase orders, understandings and other communications, whether written or oral, between you and Noemax or any third party with respect to the Product, its use or its performance. If any provision of this License is held to be illegal, invalid or unenforceable for any reason, such provision will be enforced to the maximum extent permissible and the remainder of the provisions of this License will remain in full force and effect.
Entire License. 19.1. It is agreed and understood that this License (including the schedules referred to herein, which are hereby incorporated by reference) constitutes the entire License between the parties with respect to the subject matter hereof and supersedes all prior arrangements, proposals, understandings and negotiations, both written and oral, between the parties or their predecessors with respect to the subject matter of this License.

This DPI license, whose terms comprise Schedule 9.1.2 of the 1997 Amendment to the ▇▇▇▇ ▇▇ Agreement between AGD and AVI, constitutes the entire license pertaining to DPI and supersedes all prior agreements and understandings of the parties in connection therewith. No covenant, representation or condition not expressed in this DPI license will affect or be effective to interpret, change or restrict, the express provisions of this DPI license.
