ENTIRE XXXXXXXXX. Xxis Agreement contains the entire agreement and understanding between the parties with respect to its subject matter and supersedes all prior agreements, written or oral, with respect thereto; PROVIDED, HOWEVER, that nothing herein shall in any way limit the obligation, rights or liabilities of the parties under any written stock option agreement separately entered into by the parties.
ENTIRE XXXXXXXXX. This Agreement constitutes the entire agreement between the parties hereto.

Xxxs Agreement and the otxxx Xxxxxxxxx Documents constitute the entire agreement and understanding, and supersede all prior agreements and understandings (both written and oral), between the Parties, and there are no warranties, representations or other agreements between the Parties in connection with the subject matter hereof except as specifically set forth herein and therein.
ENTIRE XXXXXXXXX. Xxxs Escrow Agreement and the Subscription Agreement between the Subscription Agent and the Subscriber constitute the entire agreement among the parties with respect to the subject matter hereof, and supersede all prior and contemporaneous arrangements or understandings with respect thereto, whether written or oral.
ENTIRE XXXXXXXXX. Xxxx Xxxxxxxxx xxx xxx xxxxxxxxx xxxxxxed to herein, together with all the Exhibits hereto, constitute the entire agreement and understanding of the parties with respect to the subject matter of this Agreement, and supersede any and all prior understandings and agreements, whether oral or written, between or among the parties hereto with respect to the specific subject matter hereof.

Xhis Agreement (and the documents, notes and other agreements executed in connection and on even date herewith) constitutes the entire agreement between the parties and supersedes and cancels any other agreement, representation or communication, whether oral or written, between the parties hereto relating to this Merger.
ENTIRE XXXXXXXXX. Xhis Agreement represents the xxxxxx Xxxxement between the parties in relation to the subject matter hereof and supersedes all prior agreements between such parties relating to such subject matter.
ENTIRE XXXXXXXXX. This Agreement, the Disclxxxxx Xxxxxxxxs and any instruments and agreements to be executed pursuant to this Agreement, sets forth the entire understanding of the parties hereto with respect to its subject matter, merges and supersedes all prior and contemporaneous understandings with respect to its subject matter and may not be waived or modified, in whole or in part, except by a writing signed by each of the parties hereto. No waiver of any provision of this Agreement in any instance shall be deemed to be a waiver of the same or any other provision in any other instance. Failure of any party to enforce any provision of this Agreement shall not be construed as a waiver of its rights under such provision.
ENTIRE XXXXXXXXX. This Lease contains the complete and entire agreement between Landlord and Tenant regarding use of the Building and lease of the Premises, and supersedes any and all prior oral and written agreements between Landlord and Tenant regarding such matters. This Lease may be modified only by an agreement in writing signed by both Landlord and Tenant, and no offer of surrender of the Premises by Tenant shall be binding unless accepted by Landlord in a writing signed by Landlord.
ENTIRE XXXXXXXXX. This Agreement constitutes the entire agreement among the parties with respect to the specific subject matter hereof and supersedes all prior written and oral agreements and understandings between SMI and Mr. Young with respect to the sxxxxxx xxtter of this Agreement.
