Common use of Equipment and Recordkeeping Clause in Contracts

Equipment and Recordkeeping. ACS shall maintain adequate offices, personnel, computers and other equipment necessary to perform or arrange for the provision of the Administrative and Shareholder Services. ACS shall notify the Fund or its agent promptly in the event that ACS becomes unable for any reason to perform or arrange for the provision of the Administrative and Shareholder Services, or any other of its obligations under this Agreement. ACS shall also maintain a business continuity plan as required by applicable law.
