Equitable Adjustments to Prices. Whenever this Certificate of Designations requires the Company to calculate the average of the Last Reported Sale Prices, or any function thereof, over a period of multiple days (including to calculate an adjustment to the Conversion Rate), the Company will make appropriate adjustments, if any, to those calculations to account for any adjustment to the Conversion Rate pursuant to Section 10(f)(i) that becomes effective, or any event requiring such an adjustment to the Conversion Rate where the Ex-Dividend Date, effective date or Expiration Date, as applicable, of such event occurs, at any time during such period.

Whenever this Certificate of Designations Designation requires the Company Corporation to calculate the average of the Last Reported Sale PricesPrices or Daily VWAPs, or any function thereof, over a period of multiple days (including to calculate an adjustment to the Conversion RatePrice), the Company Corporation will make appropriate adjustments, if any, to those calculations to account for any adjustment to the Conversion Rate Price pursuant to Section 10(f)(i11(f)(i) that becomes effective, or any event requiring such an adjustment to the Conversion Rate Price where the Ex-Dividend Date, effective date or Expiration Date, as applicable, of such event occurs, at any time during such period.

Whenever this Certificate of Designations requires the Company to calculate the average of the Last Reported Sale Prices, VWAP, or any function thereof, over a period of multiple days (including to calculate an adjustment to the Conversion RatePrice), the Company will make appropriate adjustments, if any, to those calculations to account for any adjustment to the Conversion Rate Price pursuant to Section 10(f)(i) that becomes effective, or any event requiring such an adjustment to the Conversion Rate Price where the Ex-Dividend Date, Date or effective date or Expiration Datedate, as applicable, of such event occurs, at any time during such period.
