Escrow Agent Appointment. Buyer and Seller hereby appoint and designate the Escrow Agent as escrow agent to receive the Escrow Funds and to hold and distribute the Escrow Funds in accordance with the terms of this Agreement and the Escrow Agent hereby accepts such appointment.
Escrow Agent Appointment. Regency, Regency Sub, and HEP hereby appoint and designate , a , as Escrow Agent to receive, hold, sell (if required hereunder) and distribute the Escrow Units and any subsequent deposits thereto and any distributions, income, interest or other amounts received thereon (collectively, the “Escrow Amount”) and the Diamond Y Escrow Deposit and any earnings thereon (the “Diamond Y Escrow Amount”), each in accordance with the terms of this Agreement. Escrow Agent hereby accepts its appointment as Escrow Agent and agrees to receive, hold, administer, sell (if required hereunder), invest and disburse the Escrow Amount and the Diamond Y Escrow Amount in accordance with the terms of this Agreement.
Escrow Agent Appointment. The Company and the Sales Agent hereby appoint and designate the Escrow Agent for the purposes set forth herein. The Escrow Agent acknowledges and accepts such appointment and designation.
Escrow Agent Appointment. Parent and the Stockholder Representatives hereby appoint and designate the Escrow Agent as escrow agent to receive the Escrow Fund and to hold and distribute the Escrow Amount in accordance with the terms of this Agreement. Upon receipt of the Escrow Funds, the Escrow Agent will acknowledge in writing to the Parties.

Acquirer, Acquirer Sub and Contributor hereby appoint and designate the Escrow Agent, as the escrow agent to receive, hold, sell (if required hereunder) and distribute the Escrow Amount in accordance with the terms of this Agreement. Escrow Agent Appointment. The Purchaser and the Shareholder Representative hereby appoint and designate SunTrust Bank as the Escrow Agent to receive, hold and distribute the Escrow Fund (as defined below) in accordance with the terms of this Agreement. The Escrow Agent hereby accepts its appointment as the Escrow Agent and agrees to hold, administer, invest and disburse the Escrow Amount and any subsequent deposits thereto (including amounts paid to the Escrow Agent by the Purchaser under that certain Promissory Note of even date herewith made by the Purchaser in favor of the Shareholder Representative with an original principal amount of $250,000) and any income interest or other amounts received thereon (together with the Escrow Amount, the “Escrow Fund”) in accordance with the terms of this Agreement. The Escrow Agent shall have no obligation or responsibilities in connection with the Purchase Agreement or any other agreement between any of the parties to the Purchase Agreement, other than this Agreement.
Escrow Agent Appointment. Citibank, N.A. is hereby appointed to act as the escrow agent hereunder, to hold in escrow the Indemnification Escrow Fund and the Adjustment Escrow Fund (together, the “Escrow Funds”) and dispose thereof in accordance with the terms and conditions of this Escrow Agreement, and Citibank, N.A. hereby accepts its appointment as Escrow Agent.
Escrow Agent Appointment. The Purchaser, the Company and the Shareholder Representative hereby appoint and designate Xxxxxx Xxxxxxx Xxxxx & Xxxxxxx, P.A. as the Escrow Agent to receive, hold and distribute the Escrow Fund (as defined below) in accordance with the terms of this Agreement. The Escrow Agent hereby accepts its appointment as the Escrow Agent and agrees to hold, administer, invest and disburse the Escrow Amount and any subsequent deposits thereto and any income interest or other amounts received thereon (together with the Escrow Amount, the “Escrow Fund”) in accordance with the terms of this Agreement. The Escrow Agent shall have no obligation or responsibilities in connection with the Purchase Agreement or any other agreement between any of the parties to the Purchase Agreement, other than this Agreement.

As used in this Agreement, “Escrow Amount” shall mean, as of any time, the amount of the Escrow Deposit and any proceeds thereon, including any investment income earned, held by the Escrow Agent pursuant to this Agreement.

The Escrow Agent hereby accepts its appointment as the escrow agent and agrees to accept, hold, administer, invest, and disburse the Escrow Fund in accordance with the terms hereof.
