Escrow Units definition

Escrow Units has the meaning set forth in Section 2.3(c)(i).

Escrow Units means those Units, constituting a portion of the Units issued to the Double Eagle Members pursuant to the Contribution Agreement, that were deposited into and held in escrow under the Escrow Agreement pursuant to the terms of the Contribution Agreement and the Escrow Agreement.

Escrow Units means 6,000,000 Up-C Units to be issued to certain Members at Closing that will be deposited into an escrow account with Continental Stock Transfer and Trust Company to satisfy any indemnification claims that may be brought pursuant to the MIPA;

Examples of Escrow Units in a sentence

• The Escrow Units shall be held by the Escrow Agent pursuant to the terms of this Agreement.

• While the Escrow Units are held by the Escrow Agent, the beneficial holders thereof shall retain the right to (i) exercise all voting rights attached or relating to the Escrow Units and (ii) receive all dividends or other distributions paid on the Escrow Units.

• The Securityholders’ Representative and Parent shall jointly instruct the Escrow Agent that any remaining Escrow Units after resolution and payment of all Continuing Claims, if any, shall promptly be transferred and delivered to the 6th Wave Stockholders in accordance with their respective Pro Rata Shares.

• If, during the period in which any of the Escrow Units are retained in escrow pursuant to this Agreement, a reorganization affecting the Parent’s share capital occurs, then and in each such event, the Escrow Units shall be released and replaced by the shares of stock and other securities and property upon the terms and conditions provided in the relevant reorganization documents.

• For federal income Tax purposes, HEP shall be treated as the owner of the Escrow Units, plus any cash distributions attributable to the Escrow Units (collectively, the “Escrow Amount”) held by the Escrow Agent pursuant to the Escrow Agreement and Regency shall be treated as the owner of all amounts held in the Diamond Y Escrow Account.
