Escrow Units definition

Escrow Units has the meaning set forth in Section 2.3(c)(i).
Escrow Units means those Units, constituting a portion of the Units issued to the Double Eagle Members pursuant to the Contribution Agreement, that were deposited into and held in escrow under the Escrow Agreement pursuant to the terms of the Contribution Agreement and the Escrow Agreement.
Escrow Units means 6,000,000 Up-C Units to be issued to certain Members at Closing that will be deposited into an escrow account with Continental Stock Transfer and Trust Company to satisfy any indemnification claims that may be brought pursuant to the MIPA;

Examples of Escrow Units in a sentence

  • While the Escrow Units are held by the Escrow Agent, the beneficial holders thereof shall retain the right to (i) exercise all voting rights attached or relating to the Escrow Units and (ii) receive all dividends or other distributions paid on the Escrow Units.

  • On the Closing Date, Merger Sub will deposit the Escrow Units with the Escrow Agent in accordance with the Escrow Agreement.

  • Within three (3) Business Days following the Expiration Date, Securityholders’ Representative and Parent shall jointly instruct the Escrow Agent that an amount equal to (i) the remaining Escrow Units as of the Expiration Date minus (ii) the Retained Escrow Units, shall be transferred and delivered to the 6th Wave Stockholders in accordance with their respective Pro Rata Shares.

  • On the Expiration Date, the Securityholders’ Representative and Parent shall determine reasonably and in good faith the amounts claimed under any claims for indemnification pursuant to Section 7(b)(i) properly submitted in accordance with Section 7(c)(i) prior to the Expiration Date (each such claim a “Continuing Claim” and the number of Escrow Units subject to such Continuing Claim, the “Retained Escrow Units”).

  • The Escrow Agent hereby accepts its appointment as escrow agent and agrees to hold, deal with and deliver to Escrow Units in accordance with the terms and conditions set forth herein.
