Escrow Expenses. Developer shall have paid, or caused the payment of, all costs, fees, and expenses of the Escrow (other than City's deposit of the City Loan proceeds), including all costs or fees in connection with the recording of the City Deed of Trust, Escrow fees, title insurance costs, documentary transfer taxes, or recording fees. 401.14 Corporate Resolution. Developer shall deliver to City certified copies of Developer Resolutions of the Developer entity's respective boards of directors specifically authorizing (or ratifying) the execution of this Agreement, the City Note, the City Deed of Trust, the Regulatory Agreement, and all implementing Project Documents and identifying the individual(s) with authority to enter into non-material implementation agreements and/or amendments to this Agreement and make ongoing decisions relating to the acquisition of the Site, Construction, and operation of the Project.
Escrow Expenses. Developer shall have paid, or caused the payment of, all costs, fees, and expenses of the Escrow (other than Authority’s deposit of that portion of the Authority Loan Proceeds allocable to the acquisition of Parcel 2), including all costs or fees in connection with the acquisition of Parcel 2, Escrow fees, title insurance costs, documentary transfer taxes, or recording fees.
Escrow Expenses. Developer shall have paid, or caused the payment of, all costs, fees, and expenses of the Escrow (other than Agency’s deposit of that portion of the Agency Loan Proceeds allocable to the acquisition of the Site), including all costs or fees in connection with the acquisition of the Site, Escrow fees, title insurance costs, documentary transfer taxes, or recording fees. 401.15 Corporate Resolution. Developer shall deliver to Agency certified copies of Resolutions of Developer’s board of directors specifically authorizing (or ratifying) the execution of this Agreement, the Agency Loan Note, the Agency Loan Deed of Trust, the Security Agreement, the Regulatory Agreement, and all implementing Project Documents and identifying the individual(s) with authority to enter into non-material implementation agreements and/or amendments to this Agreement and make ongoing decisions relating to the acquisition, Rehabilitation, and operation of the Project.
Escrow Expenses. All expenses in connection with the Escrow, including escrow fees, title insurance premiums and the cost of any endorsements required by Lender, recording fees and those amounts necessary to satisfy all requirements and costs of Escrow Agent.
Escrow Expenses. Except as otherwise provided in this Agreement, Acquiror Bank shall be responsible for: (a) Escrow Agent’s reasonable attorneys’ fees incurred in conjunction with the preparation and negotiation of this Agreement; and (b) all costs relating to the compensation (as payment in full) of Escrow Agent for its services under this Agreement, payable in accordance with the fee schedule attached hereto as Exhibit D.
Escrow Expenses. The Paying Agent shall (a) disburse such portion of the Escrow Assets or Earnings as directed in writing by the Committee to pay Escrow Expenses and (b) maintain a record of such disbursements; provided that all Escrow Expenses shall be paid out of the Escrow Assets until such time as the Escrow Assets are exhausted before any Escrow Expenses shall be paid out of Earnings.
Escrow Expenses. The costs and expenses of the escrow agent under the Indemnification Escrow Agreement and the Performance Escrow Agreement shall be borne by the Purchaser.
