Establishment of Disputed Claims Reserves. The Wind Down Entity shall establish and fund one or more Disputed Claims Reserves with Cash in an amount approved by the Court. The Disputed Claims Reserve shall be maintained in trust for holders of Priority Tax Claims, Non-Priority Tax Claims, Other Secured Claims and General Unsecured Claims not yet Allowed as of the Effective Date and not paid prior to the Effective Date or as part of the distributions provided for under the Plan. Each such Claim shall be paid in full in Cash from funds held in the Disputed Claims Reserve as soon as practicable after the date on which such Claim becomes an Allowed Claim. Such Claims shall be paid first from amounts in the Disputed Claims Reserve and then from the assets of the Wind Down Entity only if no funds remain in the Disputed Claims Reserve. When all such Claims have been paid in full, amounts remaining in the Disputed Claims Reserve, if any, shall be returned to the Wind Down Entity and shall become Post-Effective Date Assets to be distributed in accordance with the terms of this Agreement. For the avoidance of doubt, Administrative Claims shall not be paid from the Disputed Claims Reserve.

  • Disputed Claims 4.1 Notwithstanding paragraph 4.5 of this Schedule, payment by the Authority of all or any part of any invoice rendered or other claim for payment by the Contractor shall not signify approval of such invoice/claim. The Authority reserves the right to verify invoices/claims after the date of payment and subsequently to recover any sums which have been overpaid.
