Establishment of Mirror Supplemental Medical Reimbursement Plan. (a) Prior to the Distribution Date, Spinco shall establish, or cause to be established, a plan for Spinco Employees and Spinco Individuals, the provisions of which shall be substantially similar to the provisions of the Supplemental Medical Reimbursement Plan (SMRP) (the “Spinco SMR Plan”).
