Buyer understands and is able to bear any economic risks associated with such investment (including, without limitation, the necessity of holding such capital stock for an indefinite period of time, inasmuch as such capital stock has not been registered under the Securities Act or any state securities laws).

Such Stockholder understands and is able to bear any economic risks associated with such investment (including, without limitation, the necessity of holding such shares for an indefinite period of time, inasmuch as the shares have not been registered under the Securities Act). Each of the Stockholders is an "accredited investor", as that term is defined in Regulation D promulgated under the Securities Act. Such Stockholder confirms that Acquiror has made available to such Stockholder and its representatives and agents the opportunity to ask questions of the officers and management employees of Acquiror about the business and financial condition of Acquiror as such Stockholder or its representatives have requested.

Oasis understands and is able to bear any economic risks associated with any such investment. OASIS is an "accredited investor," as that term is defined in Regulation D promulgated under the Securities Act. OASIS confirms that EGLOBE has made available to OASIS and its representatives and agents the opportunity to ask questions of the officers and management employees of EGLOBE about the business and financial condition of EGLOBE as OASIS or its representatives have requested.

ITC and HeadHunter, as the case may be, has such knowledge and experience in financial and business matters that it is capable of evaluating the merits and risks of its investment in the LLC Interests it is acquiring. ITC and HeadHunter, as the case may be, understands and is able to bear any economic risks associated with such investment (including, without limitation, the necessity of holding such LLC Interests for an indefinite period of time, inasmuch as such LLC Interests have not been registered under the Securities Act).

Guilford has such knowledge and experience in financial and business matters that it is capable of evaluating the merits and risks of its investment in the Common Stock being acquired hereunder. Guilford is an "accredited investor" within the meaning of one or more paragraphs (1), (2), (3) or (8) of Rule 501(a) under the Securities Act. Guilford understands and is able to bear any economic risks associated with such investment (including, without limitation, the necessity of holding such Common Stock for an indefinite period of time, inasmuch as such Shares have not been registered under the Securities Act). Guilford believes it has received all the information it considers necessary or appropriate for deciding whether to purchase the Common Stock. Guilford further represents that it has had an opportunity to ask questions and receive answers from the Company regarding the Common Stock and the business, properties and financial condition of the Company.

The Investor has such knowledge and experience in financial and business matters that the Investor is capable of evaluating the merits and risks of the Investor's investment in the Notes and the Warrants to be acquired hereunder and the Parent Common Stock in repayment or upon exercise thereof (and the Loan, to the extent it is deemed to be a security). The Investor understands and is able to bear any economic risks associated with such investment (including, without limitation, the necessity of holding such securities for an indefinite period of time (until the Note Maturity Date or earlier due dates under the amortization schedule, in the case of the Notes), inasmuch as the securities have not been registered under the Securities Act). The Investor is an "accredited investor", as that term is defined in Regulation D promulgated under the Securities Act. The Investor confirms that the Company and the Parent have made available to the Investor and its representatives and agents the opportunity to ask questions of the officers and management employees of the Company and the Parent about the business and financial condition of the Company and the Parent as the Investor or its representatives have requested.
