Evaluation Term. The term of the Evaluation License (“Evaluation Term”) shall commence upon installation of the Software and shall continue for thirty (30) days thereafter. Either party may terminate the Evaluation License for a breach of this Agreement by the other party. Upon any expiration or termination of this Agreement or the Evaluation Term, Company shall de-install the Software and return ▇▇▇▇’▇ Confidential Information. During the Evaluation Term, and for one (1) year thereafter, Company shall permit ▇▇▇▇ to audit compliance by Company with this Agreement. Company shall cooperate with ▇▇▇▇ in connection with such audit. Notwithstanding the expiration or termination of this Agreement, it is acknowledged that those rights and obligations that by their nature are intended to survive such expiration or termination will survive. Notwithstanding the foregoing the Evaluation Term may be extended at ▇▇▇▇’▇ sole discretion upon written confirmation or such extension from ▇▇▇▇ to Company.
Evaluation Term. If Customer is using the Product on an evaluation basis or as a free trial, then the term for such Product will be specified in the Transaction Document. If no such term is specified, the term shall be forty-five (45) days from the date the Product is delivered.
Evaluation Term. In the event Licensee has acquired an evaluation license for the Software, the term of the Software license granted herein shall be for an evaluation period (“Evaluation Period”) of up to a maximum of thirty (30) days from delivery, unless otherwise extended by Serena, at which time this Agreement shall terminate unless Licensee enters into a license for an indefinite term as specified below. During the Evaluation Period the terms and conditions specified herein as modified in Section 11.0, Evaluation License, shall govern Licensee’s use of the Software.
Evaluation Term. If you have been given a Beta Subscription Product for evaluation or testing purposes, you, the Affiliates and the Field Service Personnel may use it for the designated period specified in the applicable Quotation only, and if none is specified, then sixty (60) days from the date you first receive the Beta Subscription Product, after which time your license to the Beta Subscription Product terminates and your use of such Beta Subscription Product may be blocked unless RouteSmart agrees, in its sole discretion, to extend your license. Even if your use is not blocked, you must stop using the Beta Subscription Product when the license term for such Beta Subscription Product ends. You may not use the Beta Subscription Product in a live or production environment if RouteSmart has provided it to you for evaluation and testing purposes. In such event, regardless of whether the Beta Subscription Product is a pre-release or commercial version, you may only use the Beta Subscription Product to determine its compatibility with and/or feasibility of use within your internal business network for the evaluation/test period designated by RouteSmart or to assist RouteSmart with pre-release testing.
Evaluation Term. The Evaluation Term shall commence upon completion of Commissioning, and shall terminate thirty (30) days thereafter.
Evaluation Term. The Agreement becomes effective on the date of creation of the Client account or as otherwise agreed in writing with ▇▇▇▇▇▇ and remains in force for an initial term of one (1) month. Thereafter, the Agreement will be tacitly renewed for additional terms of one (1) month each with a maximum of three (3) renewals from the expiration of the initial term, unless terminated in accordance with this Agreement.
Evaluation Term. This Agreement shall commence on the date of shipment of the Product by nCipher and shall end following the expiration of the Evaluation Term specified in the Schedule to this Agreement or upon return of the Product or upon termination of this Agreement as provided herein, whichever is earlier. Any extensions to the Evaluation Term must have the prior written consent of an authorised representative of nCipher.

  • Evaluation Period Customer’s right to use the Services on a Trial Basis are time-limited and will terminate immediately upon the earlier of (i) the trial end date as specified in an Order Form or other document executed by the parties regarding such trial, or (ii) the start date of when Customer purchases a right to use such Services on a non-Trial Basis, or (iii) the date when QuoVadis terminates Customer’s right to use the Services on a Trial Basis (which QuoVadis may do at any time in its sole discretion). Customer must cease using the Services on a Trial Basis upon any such termination.

  • Evaluation Cycle Goal Setting and Development of the Educator Plan A) Every Educator has an Educator Plan that includes, but is not limited to, one goal related to the improvement of practice; one goal for the improvement of student learning. The Plan also outlines actions the Educator must take to attain the goals established in the Plan and benchmarks to assess progress. Goals may be developed by individual Educators, by the Evaluator, or by teams, departments, or groups of Educators who have the similar roles and/or responsibilities. See Sections 15-19 for more on Educator Plans. B) To determine the goals to be included in the Educator Plan, the Evaluator reviews the goals the Educator has proposed in the Self-Assessment, using evidence of Educator performance and impact on student learning, growth and achievement based on the Educator’s self-assessment and other sources that Evaluator shares with the Educator. The process for determining the Educator’s impact on student learning, growth and achievement will be determined after ESE issues guidance on this matter. See #22, below. C) Educator Plan Development Meetings shall be conducted as follows: i) Educators in the same school may meet with the Evaluator in teams and/or individually at the end of the previous evaluation cycle or by October 15th of the next academic year to develop their Educator Plan. Educators shall not be expected to meet during the summer hiatus. ii) For those Educators new to the school, the meeting with the Evaluator to establish the Educator Plan must occur by October 15th or within six weeks of the start of their assignment in that school iii) The Evaluator shall meet individually with Educators with PTS and ratings of needs improvement or unsatisfactory to develop professional practice goal(s) that must address specific standards and indicators identified for improvement. In addition, the goals may address shared grade level or subject matter goals. D) The Evaluator completes the Educator Plan by November 1st. The Educator shall sign the Educator Plan within 5 school days of its receipt and may include a written response. The Educator’s signature indicates that the Educator received the plan in a timely fashion. The signature does not indicate agreement or disagreement with its contents. The Evaluator retains final authority over the content of the Educator’s Plan.

  • Evaluation 1. The purposes of evaluation provisions include providing employees with feedback, and employers and employees with the opportunity and responsibility to address concerns. Where a grievance proceeds to arbitration, the arbitrator must consider these purposes, and may relieve on just and reasonable terms against breaches of time limits or other procedural requirements.

  • Annual Evaluation The Partnership will be evaluated on an annual basis through the use of the Strategic Partnership Annual Evaluation Format as specified in Appendix C of OSHA Instruction CSP ▇▇-▇▇-▇▇▇, OSHA Strategic Partnership Program for Worker Safety and Health. The Choate Team will be responsible for gathering required participant data to evaluate and track the overall results and success of the Partnership. This data will be shared with OSHA. OSHA will be responsible for writing and submitting the annual evaluation.
