Evaluation Units. The parties will mutually agree to the number of Product evaluation units to be produced (“Evaluation Units). Evaluation Units will be produced as exact replicas of Product production units and will be invoiced to Customer at time of production. Evaluation Units will be held in Arrow’s inventory as consigned Customer-owned Product and will be shipped in accordance with Customer’s directions. Customer’s will be responsible for all shipping and export costs associated with outbound shipment of Evaluation Units and Customer’s end users will be responsible for all shipping and import/export costs associated with incoming shipments. Additional details of the Evaluation Unit process and cost will be detailed on an attached SOW.
Evaluation Units. If HDS and its Regional Affiliates elect to provide evaluation Product units to End Users in anticipation of Product sales, such evaluation units will be provided to End Users out of HDS’ and Regional Affiliates’ Product inventory. BlueArc will refurbish any returned evaluation units at the prices and discounts set forth in Exhibit A, plus will charge HDS and its Regional Affiliates for parts as specified in Exhibit A and shipping back to HDS and its Regional Affiliates.
Evaluation Units. Seller represents that there are MST products worth an amount not to exceed $20,000 that are in the field being evaluated by customers of MST who are re-sellers (the "Evaluation Units."
Evaluation Units. Reseller may arrange for certain Products for End Users solely for non- production evaluation purposes (“Evaluation Units”). Evaluation Units may not be resold at any point in time and are not subject to stock rotation or return privileges. Evaluation Units are governed by BlueCat’s standard evaluation license. In connection with each Evaluation Unit, Reseller shall fulfilled the following evaluation requirements:
(a) Register the evaluation opportunity with BlueCat by providing the full legal name and address of the End User;
(b) Confirmed that the End User has been made aware of the terms and conditions in BlueCat’s evaluation license and has agreed to comply with them; and
(c) At the end of the evaluation period, (i) confirm whether the End User has elected to purchase the Product upon the terms and conditions set forth in the EUA, and (ii) confirm whether the Evaluation Unit has been returned.
Evaluation Units. Reseller shall ensure that potential End Users that wish to evaluate the Software Platform shall enter into Evaluation License Agreements with the Company, with Reseller’s facilitation. Reseller shall use best efforts to cause each End User that evaluates the Software Platform pursuant to the terms of the Company’s Evaluation License Agreement to complete its evaluation within a thirty (30) day period, provided that such period may be extended with Company’s prior written consent, after which time Company shall be entitled to deactivate such End User’s evaluation license to the Software Platform.
Evaluation Units. All financial covenants and financial information referenced herein shall be interpreted and prepared in accordance with generally accepted accounting principles applied on basis consistent with previous years. Compliance with financial covenants shall be calculated and monitored on a quarterly basis.
Evaluation Units. For selected new products, IBM may require that QMS provide evaluation products for training and other support purposes. QMS agrees to provide one set each of these products to each of IBM's five (5) training facilities. Such products will remain the property of QMS, but will remain in the care and control of IBM until this SOW or the Agreement is terminated.
Evaluation Units. Novadaq shall provide, upon LifeCell’s request, Devices for use by Customers in evaluations (the “Evaluation Units”); provided, however, that the number of Evaluation Units at any given point in time during a Contract Year shall not exceed: (a) twenty (20) Evaluation Units for the Devices during each of the first and second Contract Years; (b) fifteen (15) Evaluation Units during the third Contract Year for the Devices; and (c) ten (10) Evaluation Units during each of the fourth, fifth, sixth, and seventh (if extended the Term is extended pursuant to Section 15) Contract Years for the Devices. Novadaq shall provide Evaluation Units at no charge to LifeCell except that LifeCell shall pay one thousand dollars ($1,000) for each installation of any such Evaluation Unit and one thousand and five hundred dollars ($1500) for each de-installation of any such Evaluation Unit; provided, however, if a Customer elects to purchase, place or rent an Evaluation Unit from LifeCell or its Affiliates prior to de-installation, Novadaq shall reimburse LifeCell one thousand dollars ($1,000) for the cost of the initial installation. Such reimbursement or credit toward any amounts payable by LifeCell shall be due within forty-five (45) days of such Customer purchase, placement or rental. Novadaq shall invoice LifeCell for any Evaluation Unit installation or de-installation charges, as applicable. Payment to Novadaq for installation or de-installation shall be due within forty-five (45) days after the date of any such Novadaq invoice (and such invoices shall not be sent until after the installation or de-installation has occurred). If a Customer purchases, places, or rents an Evaluation Unit from LifeCell, LifeCell will be entitled to a replacement Evaluation Unit subject to the limits on the maximum numbers of Evaluation Units set forth above. If an Evaluation Unit is converted to a placement Device under the Placement Plan or a rental Device under the Rental Plan, monthly payments shall be payable to Novadaq by LifeCell as set forth Exhibit A (pro-rated for the month of the conversion with a portion thereof) subject to quarterly true-ups in accordance with Exhibit A.
Evaluation Units. Upon the request of a hospital or prospective end-user for the Processing Disposable, Thrombin Reagent, Applicators and TAD Stand Alone or possible sub-distributor or sub-licensee for an evaluation unit of a Processing Disposable, Thrombin Reagent, Applicators and TAD Stand Alone, ASAHI promptly shall notify THERMO's sales department of such request in order to allow THERMO to consider the request and, if approved by THERMO, to deliver the evaluation unit on a timely basis. ASAHI shall pay the actual cost for such evaluation unit, based on THERMO's manufacturing cost only, without mark-up or profit.
Evaluation Units. All products of the Business that are located at a customer's or prospective customer's site as an evaluation unit, for purposes of evaluation for purchase as identified on SCHEDULE 1.1(a)(ii) ("Evaluation Units");
