Common use of Event Notices Clause in Contracts

Event Notices. {tc \l2 " IX.9 Event Notices. }From the date of this Agreement until the Effective Time, each party hereto will promptly notify the other party hereto of (i) the occurrence or nonoccurrence of any event of which it is aware the occurrence or nonoccurrence of which would be likely to cause any condition to the obligations of such party to effect the Merger and the other transactions contemplated by this Agreement not to be satisfied or (ii) the failure of such party to comply with any covenant or agreement to be complied with by it pursuant to this Agreement which would be likely to result in any condition to the obligations of such party to effect the Merger and the other transactions contemplated by this Agreement not to be satisfied. No delivery of any notice pursuant to this Section 9.9 will cure any breach of any representation or warranty of such party contained in this Agreement or otherwise limit or affect the remedies available hereunder to the party receiving such notice.

No delivery of any notice pursuant to this Section 9.9 will 7.09 shall cure any breach of any representation or warranty of the party giving such party notice contained in this Agreement or otherwise limit or affect the remedies available hereunder to the party receiving such notice.
