Y2K COMPLIANCE PLAN. (a) Seller has developed a comprehensive strategy, process and procedure ("SELLER 2000 METHODOLOGY") for assessing, analyzing, testing and repairing, modifying, replacing or abandoning the computer hardware and software systems (together with any other equipment dependent upon or incorporating such computer hardware and software) owned or leased by the Seller or any of its Affiliates, and used by Seller and its Affiliates in the manufacture or supply of their products or services ("SELLER INTERNAL SYSTEMS"), directed at ensuring that such Seller Internal Systems are Year 2000 Compliant. (b) The Company has developed, adopted and is currently pursuing an implementation plan based on the Seller 2000 Methodology ("COMPANY IMPLEMENTATION PLAN") directed at ensuring that the Seller Internal Systems used by the Company and listed in Section 3.18 of the Seller Disclosure Letter (the "COMPANY CRITICAL SYSTEMS") are Year 2000 Compliant on or before January 1, 2000, as such systems are currently used by the Company. The Company has successfully completed substantially all of the action items and activities for the Company Critical Systems that were required to be completed by it as of the date hereof under the Company Implementation Plan (and will complete, in a timely fashion, all such action items and activities required by the Company Implementation Plan to be completed hereafter and prior to the Closing Date). The Company Critical Systems are Year 2000 Compliant. (c) The Company also has developed a business continuation plan with respect to the minimization of any disruption in its business or operations arising from Year 2000 failures caused by external events beyond its reasonable control. (d) NOTWITHSTANDING ANYTHING CONTAINED IN THIS AGREEMENT, SELLER MAKES NO REPRESENTATION OR WARRANTY WITH RESPECT TO ANY DISRUPTION IN ITS BUSINESS OR OPERATION BASED ON ANY EXTERNAL EVENT BEYOND ITS REASONABLE CONTROL, INCLUDING WITHOUT LIMITATION, POWER FAILURES OR CORRUPTION OF ITS SYSTEM DATA OR MATERIALS PROVIDED FROM OUTSIDE SOURCES.

  • Compliance Plan (1) This paragraph (h) applies to any portion of the contract that— (i) Is for supplies, other than commercially available off-the-shelf items, acquired outside the United States, or services to be performed outside the United States; and (ii) Has an estimated value that exceeds $500,000. (2) The Contractor shall maintain a compliance plan during the performance of the contract that is appropriate— (i) To the size and complexity of the contract; and (ii) To the nature and scope of the activities to be performed for the Government, including the number of non- United States citizens expected to be employed and the risk that the contract or subcontract will involve services or supplies susceptible to trafficking in persons.

  • Program Compliance The School Board shall be responsible for monitoring the program to provide technical assistance and to ensure program compliance.

  • CEQA Compliance The District has complied with all assessment requirements imposed upon it by the California Environmental Quality Act (Public Resource Code Section 21000 et seq. (“CEQA”) in connection with the Project, and no further environmental review of the Project is necessary pursuant to CEQA before the construction of the Project may commence.

  • SOX Compliance The Company has taken all actions it deems reasonably necessary or advisable to take on or prior to the date of this Agreement to assure that, upon and at all times after the Effective Date, it will be in compliance in all material respects with all applicable provisions of the Sxxxxxxx-Xxxxx Act of 2002 and all rules and regulations promulgated thereunder or implementing the provisions thereof. (the “Sxxxxxxx-Xxxxx Act”) that are then in effect and will take all action it deems reasonably necessary or advisable to assure that it will be in compliance in all material respects with other applicable provisions of the Sxxxxxxx-Xxxxx Act not currently in effect upon it and at all times after the effectiveness of such provisions.

  • FERPA Compliance In connection with all FERPA Records that Contractor may create, receive or maintain on behalf of University pursuant to the Underlying Agreement, Contractor is designated as a University Official with a legitimate educational interest in and with respect to such FERPA Records, only to the extent to which Contractor (a) is required to create, receive or maintain FERPA Records to carry out the Underlying Agreement, and (b) understands and agrees to all of the following terms and conditions without reservation:

  • Compliance Review During the Term, Developer agrees to permit the GLO, HUD, and/or a designated representative of the GLO or HUD to access the Property for the purpose of performing Compliance-Monitoring Procedures. In accordance with GLO Compliance-Monitoring Procedures, the GLO or HUD will periodically monitor and audit Developer’s compliance with the requirements of this Agreement, the CDBG-DR Regulations, the CDBG Multifamily Rental Housing Guidelines, and any and all other Governmental Requirements during the Term. In conducting any compliance reviews, the GLO or HUD will rely primarily on information obtained from Developer’s records and reports, on-site monitoring, and audit reports. The GLO or HUD may also consider other relevant information gained from other sources, including litigation and citizen complaints. 5.04 HAZARDOUS MATERIALS: INDEMNIFICATION

  • OSHA Compliance To the extent applicable to the services to be performed under this Agreement, Contractor represents and warrants, that all articles and services furnished under this Agreement meet or exceed the safety standards established and promulgated under the Federal Occupational Safety and Health Law (Public Law 91-596) and its regulations in effect or proposed as of the date of this Agreement.

  • HIPAA Compliance If this Contract involves services, activities or products subject to the Health Insurance Portability and Accountability Act of 1996 (HIPAA), the Contractor covenants that it will appropriately safeguard Protected Health Information (defined in 45 CFR 160.103), and agrees that it is subject to, and shall comply with, the provisions of 45 CFR 164 Subpart E regarding use and disclosure of Protected Health Information.

  • Public safety compliance The Hirer shall comply with all conditions and regulations made in respect of the premises by the Local Authority, the Licensing Authority, and the hall’s Fire Risk Assessment or otherwise, particularly in connection with any event which constitutes regulated entertainment, at which alcohol is sold or provided or which is attended by children. The Hirer shall also comply with the hall’s health and safety policy. The Fire Service shall be called to any outbreak of fire, however slight, and details shall be given to the secretary of the management committee. (a) The Hirer acknowledges that they have received instruction in the following matters: • The action to be taken in event of fire. This includes calling the Fire Brigade and evacuating the hall. • The location and use of fire equipment. (Include diagram of location when handing over keys.) • Escape routes and the need to keep them clear. • Method of operation of escape door fastenings. • Appreciation of the importance of any fire doors and of closing all fire doors at the time of a fire. • Location of the first aid box. (b) In advance of any activity whether regulated entertainment or not the Hirer shall check the following items: • That all fire exits are unlocked and panic bolts in good working order. • That all escape routes are free of obstruction and can be safely used for instant free public exit. • That any fire doors are not wedged open. • That exit signs are illuminated. • That there are no obvious fire hazards on the premises. • That emergency lighting supply illuminating all exit signs and routes are turned on during the whole of the time the premises are occupied (if not operated by an automatic mains failure switching device).

  • Reporting Compliance Grantee represents and warrants that it will submit timely, complete, and accurate reports in accordance with the grant and maintain appropriate backup documentation to support the reports.
