Events Prior to Commencement Date. Each Partner (the “First Partner) will indemnify and keep the other Partner indemnified against all liabilities arising directly or indirectly from any events acts or omissions in relation to the First Partner’s Functions occurring prior to the date on which they are included in the Arrangements. For the avoidance of doubt (and without limitation) this includes all claims by Staff whose employment may have transferred under the Transfer of Undertaking (Protection of Employment) Regulations 1981.
