Common use of Evidence of Authority Clause in Contracts

Evidence of Authority. The Custodian shall be protected in acting upon any instructions, notice, request, consent, certificate instrument or paper reasonably believed by it to be genuine and to have been properly executed or otherwise given by or on behalf of the Company by an Authorized Person. The Custodian may receive and accept a certificate signed by any Authorized Person as conclusive evidence of: (a) the authority of any person to act in accordance with such certificate; or (b) any determination or of any action by the Company as described in such certificate, and such certificate may be considered as in full force and effect until receipt by the Custodian of written notice to the contrary from an Authorized Person of the Company.

The Custodian may receive and accept a certificate signed by any Authorized Person certified copy of a vote of the Board of Directors of the Company as conclusive evidence of: (a) of the authority of any person to act in accordance with such certificate; or vote or (b) of any determination or of any action by the Company Board of Directors as described in such certificatevote, and such certificate vote may be considered as in full force and effect until receipt by the Custodian of written notice to the contrary from an Authorized Person of the Companycontrary.

The Custodian may receive and accept a certificate signed by any Authorized Person as conclusive evidence of: (a) the authority of any person to act in accordance with such certificate; or (b) any determination or of any action by the Company as described in such certificate, and such certificate may be considered as in full force and effect until receipt by the Custodian of written notice to the contrary from an Authorized Person of the Company.
