Evidence of Solvency. Agent shall have received a certificate of a Responsible Officer of Borrower, certifying that Borrower and each of the Guarantors on a consolidated basis, after incurring all Indebtedness hereunder and under the Second Lien Credit Agreement on the Restatement Effective Date, will be Solvent as of the Restatement Effective Date.
