Agent and the Purchasers shall have received a certificate of a Responsible Officer of the Issuer, certifying that the Issuer and each of the Guarantors on a consolidated basis, after incurring all Indebtedness hereunder and under the First Lien Credit Agreement on the Original Closing Date, will be Solvent as of the Original Closing Date.
