Exchange Agreement and Transaction Documents. This Agreement and each other Transaction Document to which such Holder is a party has been duly and validly authorized by such Holder. This Agreement has been, and at Closing each other Transaction Document to which such Holder is a party will be, duly executed and delivered by such Holder, and this Agreement is, and at Closing each other Transaction Document to which such Holder is a party will be, a valid and binding obligation of such Holder enforceable in accordance with its terms, subject as to enforceability to general principles of equity and to bankruptcy, insolvency, moratorium and other similar laws affecting the enforcement of creditors’ rights generally, and except that the enforceability of any indemnification or contribution provisions thereof may be limited under applicable securities laws or the public policies underlying such laws.
