Common use of Exchange of Financial Information Clause in Contracts

Exchange of Financial Information. After the execution of this Plan of Merger until the Effective Time of the Merger, Company shall promptly deliver to Purchaser copies of: 5.25.1 Each monthly internal financial report prepared with respect to Company and each of the Company Subsidiaries. Company represents and warrants that such information shall be consistent with the financial information as used for internal purposes by Company in the management of its consolidated business; and 5.25.2 Each financial report or statement submitted to regulatory authorities for Company and each of the Company Subsidiaries.
