Exclusive Forum and Venue. The Superior Court of the State of California in and for the County of San Francisco shall have exclusive jurisdiction and venue to adjudicate any dispute arising out of or related to this Agreement. Customer expressly consents to (i) the personal jurisdiction of the Superior Court of the State of California in and for the County of San Francisco, and (ii) service of process being effected upon Customer by registered or certified mail.
Exclusive Forum and Venue. EACH PARTY HEREBY IRREVOCABLY (I) ACCEPTS, CONSENTS TO AND SUBMITS TO THE EXCLUSIVE JURISDICTION OF THE UNITED STATES DISTRICT COURT FOR THE MIDDLE DISTRICT OF FLORIDA AND THE STATE COURTS OF THE STATE OF FLORIDA, SITTING IN LEE COUNTY, FLORIDA, OR SUCH OTHER FEDERAL OR STATE COURT SITTING IN THE STATE OF FLORIDA WHERE VENUE IS MANDATORY PURSUANT TO APPLICABLE LAW (THE “DESIGNATED COURTS”), (II) AGREES THAT ALL PROCEEDINGS ARISING OUT OF OR RELATING TO THIS AGREEMENT MUST BE LITIGATED IN THE DESIGNATED COURTS AND THAT IT SHALL NOT COMMENCE ANY PROCEEDING IN ANY OTHER COURT, (III) WAIVES ANY OBJECTION THAT IT MAY NOW OR HEREAFTER HAVE TO THE LAYING OF VENUE IN THE DESIGNATED COURTS, INCLUDING ANY CLAIM OR DEFENSE OF FORUM NON CONVENIENS (I.E., THAT ANY ACTION, SUIT OR PROCEEDING BROUGHT IN A DESIGNATED COURT HAS BEEN BROUGHT IN AN INCONVENIENT FORUM) AND (IV) AGREES THAT ANY FINAL JUDGMENT RENDERED BY THE DESIGNATED COURTS IN ANY SUCH ACTION OR PROCEEDING SHALL BE CONCLUSIVE AND BINDING UPON SUCH PARTY AND MAY BE ENFORCED IN ANY OTHER COURTS HAVING JURISDICTION OVER SUCH PARTY BY SUIT ON THE JUDGMENT OR IN ANY OTHER MANNER PROVIDED BY LAW.
Exclusive Forum and Venue. Any actions or judicial proceedings arising out of this Agreement shall be filed and prosecuted in the Superior Court for the State of Alaska, Third Judicial District, at Anchorage. The parties hereto affirmatively waive the right to trial by jury.
Exclusive Forum and Venue. The Company and Executive hereby agree that the exclusive forum for any suit, action, or other proceeding arising out of or in any way related to this Agreement shall be in the courts of the state of Texas, and further agree to personal jurisdiction in said courts. The Company and Executive further agree that unless prohibited by law, the exclusive venue for such suit, action, or proceeding shall be any court in Xxxxxx County, Texas, and both parties waive any defense to such venue.
Exclusive Forum and Venue. The Parties, to the fullest extent permitted by law, hereby knowingly, intentionally, and voluntarily submit to the exclusive personal and subject- matter jurisdiction of the Circuit Court for the Twelfth Judicial Circuit, Will County, Illinois, over any suit, action or proceeding in any way related to or arising from this Agreement. Therefore, the Parties hereby knowingly, intentionally, and voluntarily waive and forfeit any and all rights that they have, or which they may later accrue, to file any motion challenging jurisdiction or venue in said circuit court, including but not limited to any motion styled as a motion forum non conveniens, as well as their right to remove any such action to any federal court.
