Xxxxxx County. Xxxxxx County will cooperate and participate in the planning, design, and permitting work for the Trail, boardwalk and bridges and associated Trail connections and amenities as necessary. The County will participate in funding, the grant application process and provide right-of-access to lands it owns in the canyon as set forth more fully below.

Xxxxxx County. Seller has complied with all the terms and conditions of the Xxxxxx County Industrial Development Authority Industrial Development Authority Grant Award Agreement dated October 11, 2011, and is not in breach of the agreement.

Xxxxxx County. Notwithstanding provisions of that certain Water Transfer Agreement between Natomas and ASUS dated as of February 4, 2005 (“Water Transfer Agreement”), for the transfer of up to 30,000 acre-feet of water per year for use within the Xxxxxx County portion of the Natomas Service Area for municipal and industrial use, Natomas hereby agrees that ASUS has the priority right to use the water arising under the rights and entitlements sold under this Agreement to provide retail water service in Xxxxxx County, without regard to ASUS’s right to acquire water under the Water Transfer Agreement.
