Common use of Execution and Binding Obligation Clause in Contracts

Execution and Binding Obligation. This Agreement and the other Credit Documents have been duly executed and delivered by each of the Credit Parties, in each case, to the extent a party thereto and constitute legal, valid and binding obligations of each such Person enforceable against them in accordance with their respective terms, subject only to any limitation under Applicable Laws relating to (i) bankruptcy, insolvency, arrangement or creditors’ rights generally, and (ii) the discretion that a court may exercise in the granting of equitable remedies;

Execution and Binding Obligation. This Agreement and the other Credit Documents have been duly executed and delivered by each of Parent GP and the Credit Parties, in each case, to the extent Loan Parties which is a party thereto and constitute its legal, valid and binding obligations of each such Person obligations, enforceable against them it in accordance with their respective terms, subject only to any limitation under Applicable Laws relating to (i) bankruptcy, insolvency, arrangement reorganization, moratorium or similar Laws affecting creditors’ rights generally, ; and (ii) general equitable principles including the discretion that a court may exercise in the granting of equitable remedies;.

This Agreement and the other Credit Documents have been duly executed and delivered by the Borrower and each of the Credit Parties, in each case, to the extent a Material Subsidiary (that has provided any Security) party thereto and constitute legal, valid and binding obligations of the Borrower and each such Person Material Subsidiary, enforceable against them it in accordance with their respective terms, subject only to any limitation under Applicable Laws applicable laws relating to (i) bankruptcy, insolvency, arrangement reorganization, moratorium or creditors’ rights generally, ; and (ii) the discretion that a court may exercise in the granting of equitable remedies;.

This Agreement and the other Credit Documents have been duly executed and delivered by each of the Credit Parties, in Borrower and each case, to the extent Restricted Subsidiary which is a party thereto and constitute legal, valid and binding obligations of each such Person Borrower and Restricted Subsidiary enforceable against them in accordance with their respective terms, subject only to any limitation under Applicable Laws applicable laws relating to (i) bankruptcy, insolvency, arrangement reorganization, moratorium or creditors’ ' rights generally, and (ii) the discretion that a court may exercise in the granting of equitable remedies;.
