Common use of Execution and Binding Obligation Clause in Contracts

Execution and Binding Obligation. This Agreement and each of the Ancillary Agreements to which it is a party has been duly executed and delivered by such Seller, and constitutes a legal, valid and binding obligation of such Seller enforceable against it in accordance with its terms subject only to any limitation under applicable Laws relating to (i) bankruptcy, winding-up, insolvency, arrangement and other Laws of general application affecting the enforcement of creditors’ rights, and (ii) the discretion that a court may exercise in the granting of equitable remedies such as specific performance and injunction.

Execution and Binding Obligation. This The execution and delivery of this Agreement and each of the Ancillary Agreements to which it is a party Agreement has been duly executed authorized by all necessary corporate action on the part of the Vendor (other than the Shareholder Approval) and delivered by such Seller, and this Agreement constitutes a legal, valid and binding obligation of such Seller enforceable against it in accordance with its terms subject only to any limitation under applicable Laws relating to to: (i) bankruptcy, winding-winding up, insolvency, arrangement and other Laws laws of general application affecting the enforcement of creditors’ ' rights, and ; and (ii) the discretion that a court may exercise in the granting of equitable remedies such as specific performance and injunction.

This Agreement and each of the Ancillary Agreements to which it the Shareholder is a party has have been duly executed and delivered by such Seller, the Shareholder and constitutes a constitute legal, valid and binding obligation obligations of such Seller the Shareholder enforceable against it in accordance with its their respective terms subject only to any limitation under applicable Laws relating to to: (i) bankruptcy, winding-up, insolvency, arrangement and or other Laws similar laws of general application affecting the enforcement of creditors’ ' rights, and ; and (ii) the discretion that a court may exercise in the granting of equitable remedies such as specific performance and injunction.

This Agreement and each of the Ancillary Agreements to which it is a party has been duly executed and delivered by such Sellerthe Corporation, and constitutes a legal, valid and binding obligation of such Seller the Corporation enforceable against it in accordance with its terms subject only to any limitation under applicable Laws relating to (i) bankruptcy, winding-up, insolvency, arrangement and other Laws of general application affecting the enforcement of creditors’ rights, and (ii) the discretion that a court may exercise in the granting of equitable remedies such as specific performance and injunction.

This Agreement and each of the Ancillary Agreements to which it the Purchaser is a party has have been duly executed and delivered by such Seller, the Purchaser and constitutes a constitute legal, valid and binding obligation obligations of such Seller the Purchaser, enforceable against it in accordance with its their respective terms subject only to any limitation under applicable Laws relating to to: (i) bankruptcy, winding-up, insolvency, arrangement and or other Laws similar laws of general application affecting the enforcement of creditors’ ' rights, and ; and (ii) the discretion that a court may exercise in the granting of equitable remedies such as specific performance and injunction.
