Common use of Execution and Delivery of a Guarantee Clause in Contracts

Execution and Delivery of a Guarantee. (a) The execution by each Guarantor of this Indenture (or a supplemental indenture in the form of Exhibit B hereto) evidences the Guarantee of such Guarantor, whether or not the person signing as an officer of the Guarantor still holds that office at the time of authentication of any Note. The delivery of any Note by the Trustee after authentication constitutes due delivery of the Guarantee set forth in this Indenture on behalf of each Guarantor. (b) The Trustee hereby accepts the trusts in this Indenture upon the terms and conditions herein set forth.
