Execution and Delivery of Ancillary Agreements. Seller shall have received from Buyer the following Ancillary Agreements, each of which shall be executed and in full force and effect:
Execution and Delivery of Ancillary Agreements. Parent or its applicable Affiliate shall have executed and delivered to Seller or its applicable Affiliate each of the Transition Services Agreement and, if to be executed pursuant to Section 5.16(b), the Common Interest and Cooperation Agreement, each of which shall be in full force and effect as of the Closing.
Execution and Delivery of Ancillary Agreements. Seller shall have executed and delivered the Ancillary Agreements to which it is a party.
Execution and Delivery of Ancillary Agreements. Seller and the ---------------------------------------------- other parties to the Ancillary Agreements shall have executed and delivered to Buyer this Agreement and each Ancillary Agreement to which it is a party, and Seller shall deliver the Closing Date Orders Schedule, Orders Copies, the Vendor Orders Copies and the Inventory Copies.
Execution and Delivery of Ancillary Agreements. (i) Releases. Each of the Sellers shall have executed and delivered the releases, each in substantially the form attached as Exhibit A hereto (the “Releases”), in favor of the Buyer, and each of the Releases shall be in full force and effect.
Execution and Delivery of Ancillary Agreements. At the Closing, the Ancillary Agreements listed in Section 1.3(b) shall (if not done previously) be executed and delivered in substantially the form of each such Ancillary Agreement attached hereto as an exhibit, by or on behalf of the applicable parties thereto (and, if any such applicable party is a Subsidiary of a Principal, then such Principal shall cause such Subsidiary to so execute and deliver).
Execution and Delivery of Ancillary Agreements. Purchaser shall have executed and delivered the Ancillary Agreements.

Execution and Delivery of Ancillary Agreements. (a) Company shall use commercially reasonable best efforts to execute and deliver at or prior to the Closing Date, each of (i) the Xxxx of Sale and Assumption Agreement, and (ii) the Transition Services Agreement.
Execution and Delivery of Ancillary Agreements. Seller and Seller Subsidiaries shall have executed and delivered the Ancillary Agreements to which it is a party. Seller Subsidiaries shall have executed and delivered the Ancillary Agreements and the Subsidiary Business Transfer Agreement to which any such Seller Subsidiary is a party.
