Execution of Amendment and Credit Documents. Receipt by the Administrative Agent of counterparts of (i) this Amendment duly executed by the Credit Parties, the Required Lenders and the Administrative Agent, (ii) a pledge agreement in a form reasonably acceptable to the Administrative Agent with respect to the pledge of the Capital Stock described on Annex V hereto (the “Pledge Agreement”) duly executed by the applicable Credit Parties and the Administrative Agent and (iii) a security agreement in a form reasonably acceptable to the Administrative Agent (the “Security Agreement”) with respect to the Collateral (as defined in the Amended Credit Agreement) duly executed by each of the New Subsidiary Guarantors party thereto, each other “Grantor” as defined in the Security Agreement (the “Other Grantors”) and the Administrative Agent.
