Common use of Executive’s Representations Clause in Contracts

Executive’s Representations. The Executive represents and warrants to the Company that (i) he is able to perform fully his duties and responsibilities contemplated by this Agreement and (ii) there are no restrictions, covenants, agreements or limitations of any kind on his right or ability to enter into and fully perform the terms of this Agreement.

Executive’s Representations. The Executive hereby represents and warrants to the Company that that: (ia) the execution, delivery and performance of this Agreement by Executive do not and shall not conflict with, breach, violate or cause a default under any contract, agreement, instrument, order, judgment or decree to which Executive is a party or by which he is able to perform fully his duties bound; and responsibilities contemplated by (b) this Agreement is the valid and (ii) there are no restrictionsbinding obligation of Executive, covenants, agreements or limitations of any kind on his right or ability to enter into and fully perform the terms of this Agreementenforceable in accordance with its terms.

Executive’s Representations. Executive’s Representations. (a) The Executive represents that he has full authority to enter into this Agreement and warrants that he is free to enter into this Agreement and not under any contractual restraint which would prohibit the Executive from satisfactorily performing his duties to the Company that (i) he is able to perform fully his duties and responsibilities contemplated by this Agreement and (ii) there are no restrictions, covenants, agreements or limitations of any kind on his right or ability to enter into and fully perform the terms of under this Agreement. (b) The Executive acknowledges that he is free to seek advice from independent counsel with respect to this Agreement. The Executive is not relying on any representation or advice from the Company or any of its officers, directors, attorneys or other representatives regarding this Agreement, its content or effect.
