In the event that Executive resigns his employment without Good Reason, Executive will not be entitled to the Severance Benefits, severance pay, pay in lieu of notice or any other such compensation, or any accelerated vesting of equity awards, other than payment of accrued salary and such other accrued benefits as expressly required in such event by applicable law or the terms of any applicable Company benefit plans. Termination of Executive’s employment due to Executive’s death or disability will be treated as Executive’s resignation without Good Reason.
