Common use of Executive’s Right to Terminate Clause in Contracts

Executive’s Right to Terminate. Notwithstanding the provisions of Section 3.1 Executive shall have the right to terminate his employment under this Agreement for any of the following reasons: (a) as a result of a Change in Duties; provided, however, that prior to Executive's termination as a result of a Change of Duties, Executive must give written notice to Company of the specific occurrence that resulted in the Change in Duties and such occurrence must remain uncorrected for 10 days following such written notice; or (b) at any time for any other reason whatsoever, in the sole discretion of Executive.

Executive’s Right to Terminate. Notwithstanding the provisions of Section 3.1 paragraph 2.1, Executive shall have the right to terminate his employment under this Agreement at any time for any of the following reasons: (ai) as a result material breach by Company of a Change in Duties; providedany material provision of this Agreement which, howeverif correctable, that prior to Executive's termination as a result of a Change of Duties, Executive must give remains uncorrected for 30 days following written notice of such breach by Executive to Company of the specific occurrence that resulted in the Change in Duties and such occurrence must remain uncorrected for 10 days following such written noticeCompany; or (bii) at any time for any other reason whatsoever, in the sole discretion of Executive.

Notwithstanding the provisions of Section 3.1 3(a), Executive shall have the right to terminate his employment under this Agreement for any of the following reasons: (ai) as a result of a Change in Dutiesan Event of Good Reason; provided, however, that prior to Executive's ’s termination as a result of a Change an Event of DutiesGood Reason, Executive must give written notice to the Company of the specific occurrence that resulted in the Change in Duties Event of Good Reason and such occurrence must remain uncorrected for 10 30 calendar days following such written notice; or (bii) at any time for any other reason whatsoever, in the sole discretion of Executive.

Notwithstanding the provisions of Section 3.1 3.1, Executive shall have the right to terminate his employment under this Agreement for any of the following reasonsreasons by providing Company with a Notice of Termination: (a) as a result within 180 days of a Change and in Duties; provided, however, that prior to Executive's termination as a result of a Change of Duties, Executive must give written notice to Company of the specific occurrence that resulted in the Change in Duties and such occurrence must remain uncorrected for 10 days following such written noticeconnection with or based upon Good Reason; or (b) at any time for any other reason whatsoever, in the sole discretion of Executive.

Notwithstanding the provisions of Section 3.1 paragraph 2.1, Executive shall have the right to terminate his employment under this Agreement at any time for any of the following reasonsfollowing: (a) as a result of a Change in Duties; provided, however, that prior to Executive's termination as a result of a Change of Duties, Executive must give written notice to Company of the specific occurrence that resulted in the Change in Duties and such occurrence must remain uncorrected for 10 days following such written noticeGood Reason; or (b) at any time for any other reason whatsoever, in the sole discretion of Executive, provided Executive delivers written notice to Company at least six (6) months’ prior to the effective date of Executive’s termination of his employment, unless Company and Executive mutually agree to a shorter notice period.
