Common use of Executive’s Services and Duties Clause in Contracts

Executive’s Services and Duties. 2.1 During the Employment Term, Executive shall: 2.1.1 Observe and conform to the policies and directions promulgated from time to time by Employer’s Board of Directors (the “Board”); 2.1.2 Use all reasonable efforts to serve Employer faithfully, diligently and competently and to the best of his ability; and 2.1.3 Devote his full business time, energy, ability, attention and skill to his employment hereunder. 2.2 The services to be performed by Executive hereunder may be changed or adjusted from time to time at the reasonable discretion of the Board. 2.3 Except with the prior written approval of the Board, Executive during the Employment Term will not: (i) accept any other employment with a third party; (ii) serve on the board of directors or similar body of any other business entity in any way directly or indirectly competitive with the business of the Company; or (iii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that is or may be competitive with, or that might place Executive in a competing position to or otherwise conflict with, that of Employer or any of its subsidiaries, affiliates or divisions.
