Exercise of Powers of the General Partner. (1) The General Partner shall exercise its powers and discharge its duties and obligations hereunder honestly, in good faith, and in the best interests of the Limited Partnership and shall, in discharging its duties, exercise the degree of care, diligence and the skill that a reasonably prudent and qualified manager would exercise in similar circumstances.
