Existence and Good Standing Certificate a certificate, dated November 15, 2005, from the Secretary of State of the State of Oklahoma indicating that Ladder is authorized to do business as a foreign corporation and in good standing in the State of Oklahoma as of such date (“Ladder’s Foreign Qualification Certificate”):
