Existing Restrictive Covenants. Employee represents and warrants that Employee's employment with the Company does not and will not breach any agreement which Employee has with any former employer to keep in confidence confidential information or not to compete with any such former employer. Employee will not disclose to the Company or use on its behalf any confidential information of any other party required to be kept confidential by Employee.

Except as provided in Exhibit B, Employee has not entered into any agreement with any employer or former employer: (a) to keep in confidence any confidential information, or (b) to not compete with any former employer. The Executive will not disclose to the Company or use on either of their behalf any confidential information of any other party required to be kept confidential by the Executive.
Existing Restrictive Covenants. Executive agrees that any existing non-solicitation agreement and/or non-compete agreement to which he is a party shall continue in full force and effect in accordance with its terms.
Existing Restrictive Covenants. Executive acknowledges and agrees that he will remain subject to the restrictive covenants in his Transition and Succession Agreement with Mylan Inc. pursuant to their existing terms for the specified duration from the Separation Date; provided, however, that (i) in the event Executive requests a consent or waiver from such covenants, the Company will consider such request in good faith and such consent or waiver shall not be unreasonably withheld, conditioned or delayed and (ii) Executive shall be entitled to serve on the Board of Directors of other entities or to provide advisory or consulting services to other entities provided, in each case, that the Executive does not serve as an executive of any competitive entity during any period of restriction.
Existing Restrictive Covenants. Anything to the contrary in this Agreement notwithstanding, in the event that a third party has asserted that the Executive’s employment by the Company or the exercise of his duties for the Company has violated or will violate any agreement between such third party and the Executive relating to non-competition, non-solicitation of customers or disclosure of confidential information and there is a material risk that the third party will seek to enforce such agreement and a material risk that the third party may be successful in such enforcement action resulting in material detriment to the Company, then upon the request of the Company, in writing, Executive hereby agrees that Executive’s employment shall terminate by mutual agreement, which shall for all purposes shall be considered a voluntary termination by the Executive without Good Reason.

The Consultant represents and warrants that the Consultant's retention by the Company, including the performance of and compliance with all of the terms and provisions of this Agreement, do not and will not breach any agreement which the Consultant has with any person, entity, or former employer to keep in confidence confidential information or not to compete with any such person, entity, or former employer. The Consultant will not disclose to the Company or use on its behalf any confidential information of any other party required to be kept confidential by the Consultant.
Existing Restrictive Covenants. Nothing in this Agreement shall cancel, amend, reduce, terminate, or otherwise supersede any prior and/or existing restrictive covenants signed by the Participant as a condition of employment with the Company, or as a condition of participating in a Related Company incentive equity program.
